Job Description

Overview
The Assistant Manager Company Secretary (IB Firm) plays a vital role in ensuring the organizations compliance with legal and regulatory frameworks. This position is essential in assisting the Chief Company Secretary in managing the companys corporate governance framework overseeing legal matters and advising the board on matters of corporate conduct. As an integral part of the team the Assistant Manager will work closely with various departments within the firm to maintain and enhance legal standards manage regulatory filings and provide guidance on the implementation of policies and procedures. This role requires a deep understanding of corporate law regulatory compliance and governance practices within the investment banking sector. The successful candidate will align legal strategies with business goals thereby enhancing operational integrity and protecting the organizations reputation.

Key Responsibilities
  • Assist in the preparation and maintenance of statutory registers and records.
  • Ensure compliance with the Companies Act and other relevant legislation.
  • Assist in drafting and reviewing legal documents including contracts and agreements.
  • Coordinate board meetings including agenda preparation and minute taking.
  • Provide legal advice and support to the management and board of directors.
  • Oversee regulatory filings with relevant authorities and agencies.
  • Implement and monitor corporate governance policies across the organization.
  • Collaborate with internal teams to ensure alignment with corporate governance frameworks.
  • Maintain uptodate knowledge of changes in regulations and legislative requirements.
  • Support compliance audits and assessments as needed.
  • Assist in corporate restructuring and other significant business initiatives.
  • Provide training and guidance to staff on corporate governance issues.
  • Research legal issues and prepare analytical reports for senior management.
  • Respond to inquiries from regulatory bodies and ensure timely compliance.
  • Participate in risk management and mitigation strategies.

Required Qualifications
  • Qualified Company Secretary (ACS/ICSI) certification is essential.
  • Minimum of 2 years of experience in corporate governance or legal compliance.
  • Experience in drafting Shareholders Agreements (SHAs) and Subscription Agreements (SSA).
  • Strong understanding of corporate laws and regulatory frameworks.
  • Experience working in the investment banking sector preferred.
  • Proven skills in legal research and documentation.
  • Excellent verbal and written communication abilities.
  • Strong analytical and critical thinking skills.
  • Ability to manage multiple tasks and projects effectively.
  • High degree of professionalism and confidentiality.
  • Proficient in MS Office Suite and corporate governance software.
  • Team player with strong collaboration skills.
  • Experience in stakeholder management and engagement.
  • Knowledge of international legal practices and compliance standards is a plus.
  • Attention to detail and accuracy in all work outputs.
  • Ability to work under pressure and meet tight deadlines.
