Transaction Attorney

Marathon is seeking an experienced attorney to support and work closely with Marathons market leading private credit assetbased investment team working on site at our New York headquarters. The team focuses on investing and financing all types of assets including commercial real estate aircraft ships receivables structured products and other asset classes. Title will be commensurate with experience.

• Primarily responsible to provide legal support for all aspects of Marathons assetbased lending and investment platform with a particular focus on commercial real estate and transportation assets (aircraft ships etc.; strong preference will be given to candidates that have the requisite experience to provide additional support for other assetbased strategies
• Review draft and negotiate documentation with respect to and provide legal and structuring advice concerning all assetbased investments and loans including the formation and structuring of investments and the review and/or preparation of joint venture and partnership agreements loan documents term sheets nondisclosure agreements engagement letters and other related documentation
• Direct involvement in and primary legal support for the negotiation and closing of warehouse and other backleverage financing facilities as well as the securitization of portfolio loans and assets.
• Provide meaningful legal support and guidance in connection with all asset management matters
• Direct involvement in and legal support for all real estate loan workouts restructurings forbearances foreclosures and portfolio related litigation matters
• Coordinate and manage outside counsel including management of legal costs; maintain relationships with outside counsel and oversee the internal approval of all legal counsel

• MidSenior level attorney with 515 years experience in at least one of the following two areas: commercial real estate (financing) or transportation (financing and/or investing in aircraft ships or other assets); attorneys with significantly more or less experience will not be considered
• Juris Doctor degree (or equivalent) and membership in good standing with the New York State bar (or ability to waive into the New York State bar)
• Progressive experience in transportation investment and finance and/or commercial real estate ideally with inhouse legal experience at a multistrategy investment manager
• Experience with other secured assetbased finance areas is preferred but not required.
• Familiar with all aspects of crossborder and international assetbased investment and finance transactions including a familiarity with issues related to taxation
• Demonstrated ability to appropriately assess and manage legal and reputational risk and demonstrate sound judgment in resolving such matters
• Willingness to learn and cover areas that are unfamiliar to the candidate
• Ability to thrive in a fastpaced dynamic and demanding openoffice environment
• Ability to prioritize efficiently and manage a complex time sensitive workload
• Excellent attention to detail and accuracy
• Willingness to learn new areas of law to cover other businesses and investment initiatives

The average salary for this role is $150000 $275000 in base pay and is exclusive of any bonuses or benefits which are also part of the compensation package. The base pay offered will be determined based on your experience skills training certifications and education and in addition we will also consider internal equity and market data. We do not anticipate that candidates hired will begin at the top of the range however from time to time it may occur on a casebycase basis.
