Job Description

Our client is a professional licensing company with exclusive ownership of fundamental and important patented technologies relevant to IaaS PaaS content delivery networks datacenters and other telecommunications and infrastructure services. The Company is based in Palo Alto and has exclusively retained Solutus Legal Search to assist its executives in hiring an experienced IP licensing and litigation attorney to serve as General Counsel on a part time basis.

The successful candidate will work under the direction and support of the Companys leadership team to implement business strategy plans and licensing programs/projects. This role involves managing daytoday legal operations collaborating with internal and external parties and ensuring compliance with corporate governance.

KEY RESPONSIBILITIES

    • Strategic :Support the of business strategy plans and licensing initiatives.
    • Legal Operations Management:Oversee daily legal operations including corporate law finance licensing and litigation management. Manage relationships with outside counsel and partners effectively.
    • Licensing Project Support:Assist the Intellectual Property and Compliance (CIPC) team with all licensing projects. Responsibilities include preparing reviewing and presenting comprehensive claims charts accurately and on time in collaboration with external experts and litigation counsel. Also support negotiations and agreements related to licensing and litigation settlements.
    • Litigation Management:Manage external litigation counsel from prefiling investigations through to trial globally. Develop effective case strategies to achieve favorable outcomes.
    • Case Strategy Development:Work closely with external litigation counsel to create robust liability and damages theories that align with corporate objectives.
    • Global Litigation Strategy:Collaborate with the leadership team to formulate a coordinated global litigation strategy that supports corporate goals.
    • Agreement Drafting and Negotiation:Draft negotiate and execute various corporate agreements including licensing and settlement agreements nondisclosure agreements and contracts with thirdparty vendors partners and consultants.
    • Compliance Oversight:Ensure adherence to corporate governance and compliance standards including tax obligations and reporting requirements mandated by litigation finance and corporate partners.

BACKGROUND AND EXPERIENCE FOR THE SUCCESSFUL CANDIDATE:

    • Juris Doctor (JD) from an accredited law school.
    • Relevant experience 8 years) in patent licensing and litigation management; corporate law and compliance a plus.
    • Strong negotiation drafting and analytical skills.
    • Excellent communication and interpersonal skills.
    • Ability to manage multiple projects and adhere to timelines in a fastpaced environment.
Compensation for this part time role will be a monthly flat determined by the candidates level of seniority years of directly relevant experience and the number of hours worked each month on behalf of the company. The successful candidate will also be eligible to participate in a pertransaction revenue share program.
