JOB SUMMARY

The U.S./Canada Development Transactions team is responsible for representing Marriott in meeting its growth objectives. The team works with various Marriott corporate departments and disciplines and helps Marriott achieve its business objectives by negotiating and drafting contracts with owners operators and lenders for each new hotel in the United States and Canada. The Senior Paralegal position supports team attorneys prepares drafts of transaction documents including franchise agreements management agreements and other related documents conducts due diligence and ensures seamless completion of deal closings. Additionally the Senior Paralegal maintains the legal management databases while leveraging technology to improve efficiency collaborates with internal and external stakeholders and responds to various development and operational issues as they arise.

CANDIDATE PROFILE

Education and Experience

Required

  • Fouryear college degree and work experience of six years OR Twoyear college degree and minimum relevant work experience of ten years OR at least twenty years of relevant work experience as a paralegal.
  • Proficiency in MS Word Excel and Outlook.
  • Familiarity with database functionality and operation.
  • Ability to routinely work from the HQ office in Bethesda currently 34 days/week
  • Availability for minimal travel and flexibility for overtime.

Preferred

  • Strong project management skills and ability to meet simultaneous deadlines in a fastpaced environment.

CORE WORK ACTIVITIES

  • Provide direct support to the attorneys and assist other members of theUS/Canada development transactions groupin the performance of their duties and responsibilities.
  • Interface with the internal Marriott transactions personnel as well as owners and their administrative staff to conduct organizational due diligence and obtain all required information for completion of transaction agreements and related documents.
  • Prepare drafts of transaction documents (including franchise agreements management agreements guaranties comfort letters SNDAs amendments and other agreements) primarily utilizing forms and standardized provisions; prepare drafts of negotiated changes to agreements.
  • Review and screen information comments and questions received from owners and their counsel and prepare initial draft responses for attorney review.
  • Facilitate full of documents by owners and ensure executed originals are returned and filed appropriately.
  • Leverage technology to improve efficiency throughout contract generation and process.
  • Undertake special assignments including research review and analysis of contract documentation and other issues as requested.
  • Maintain and update enterprise legal management database for uptodate tracking of the status of transaction documents.
  • Respond as necessary to miscellaneous development and operational issues.

The pay range for this position is $35.48 to $61.68 per hour. In addition the position is eligible for an annual bonus.

Washington Applicants Only: Employees will accrue 0.04616 PTO balance for every hour worked and eligible to receive minimum of 7 holidays annually.
