Your missions

As Investment Fund Governance & Oversight Supervisor you will be responsible for overseeing corporate governance regulatory compliance and delegation oversight within our AIFM which manages a diverse range of Alternative Investment Funds (AIFs) including Private Equity Fixed Income Real Estate and Fund of Funds portfolios.

You will work closely with the Conducting Officers and senior management ensuring that corporate governance standards are upheld regulatory filings are completed accurately and delegated service providers are effectively monitored.

  • Organize and prepare board and management committee meetings including drafting agendas meeting packs and minutes.
  • Ensure timely and accurate recording of board resolutions and decisions.
  • Maintain statutory registers and corporate records.
  • Coordinate Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs) of shareholders.
  • Advise board members and Conducting Officers on corporate governance best practices and regulatory requirements.
  • Ensure timely filing of regulatory reports financial statements and statutory documents.
  • Monitor changes in legal and regulatory frameworks affecting the AIFM and investment funds.
  • Participate in the drafting review and updating of the AIFMs policies and procedures in line with AIFMD and CSSF requirements.
  • Support the Conducting Officers in overseeing delegated service providers (fund administrators investment managers etc..
  • Assist in the preparation of due diligence reports on delegates and service providers.
  • Act as a liaison between senior management and external stakeholders ensuring clear and effective communication.
  • Participate in the onboarding of new investment funds ensuring compliance with AIFM approval processes.
  • Maintain domiciliation files for funds under management.
  • Assist with the appointment resignation and removal of managers Conducting Officers and key personnel.

Your ideal profile

    • Bachelors or Masters degree in Law Finance Business Administration or a related field.
    • 3 years of experience in corporate governance fund administration or compliance within an AIFM management company or financial institution.
    • Strong understanding of Luxembourgs regulatory environment (AIFMD CSSF requirements AML/KYC regulations).
    • Experience in Real Estate Private Equity or other Alternative Investment Funds is a strong asset.
    • Fluent in English (French is a plus).
    • Excellent analytical and problemsolving skills.
    • Strong attention to detail and time management.
    • Ability to understand and interpret fund agreements and regulatory documentation.
    • Strong leadership and supervision skills.
