Job Summary

Key Responsibilities
  • Draft review and negotiate contracts and agreements in English ensuring accuracy clarity and compliance with relevant corporate laws and regulations.
  • Provide legal advice on a broad range of corporate matters including compliance risk management corporate governance and business operations.
  • Provide legal support and advisory to the Board of Directors and senior management on corporate governance matters board resolutions legal risks and strategic business decisions.
  • Prepare review and maintain Board of Directors documentation including board resolutions meeting minutes agendas powers of attorney and other corporate governance documents ensuring proper legal and regulatory compliance.
  • Work closely with internal teams including Finance HR and Operations to address legal issues and contribute to strategic decision-making processes.
  • Monitor and ensure compliance with applicable laws and regulations including corporate data protection intellectual property and other relevant legal requirements.
  • Identify assess and mitigate legal and regulatory risks that may impact the company or its business activities.
  • Prepare and manage legal documents reports correspondence and corporate records with a high level of accuracy and attention to detail.
  • Offer legal training and support to other departments as needed to ensure awareness of legal requirements and best practices.
Qualifications
  • Bachelor of Laws (LL.B.) degree required. Masters degree in Law (LL.M.) preferred.
  • Licensed by the Bar Association with at least a primary-level license.
  • Minimum of 5 years of experience in corporate law with demonstrated experience in drafting reviewing and negotiating contracts.
  • Experience in corporate governance and providing legal support to senior management and/or Boards of Directors is highly preferred.
  • Proven expertise in contract law corporate law and regulatory compliance with strong analytical and problem-solving skills.
  • Ability to communicate complex legal concepts clearly and effectively to both legal and non-legal stakeholders.
  • Excellent command of English both written and verbal. Additional language skills are a plus.
  • Exceptional attention to detail accuracy and discretion when handling confidential legal and corporate matters.
