Purpose Unlimiteds businesses include Purpose Investments Advisor Solutions by Purpose and Title: Senior Legal CounselPosition Summary:Senior Legal Counsel Investment Funds provides strategic legal and regulatory advice in support of the organizations public investment fundsand its exempt market / offering memorandum (OM) Legal Counsel enables the organizations product development portfolio management and distribution teams while coordinating with and advising compliance to maintain investment fund activities adherence with Canadian securities laws and regulatory Legal Counsel coordinates with internal stakeholders and external counsel to provide practical value-added legal advice to the Functions: Public Funds (NI 81-102)Advise on the structuring organization launch and ongoing operation of public investment funds subject to NI 81-102 NI 81-101 NI 81-106 and related Canadian securities review and maintain public fund disclosure documents including prospectuses fund facts MRFPs material change reports and related regulatory on fund governance matters including investment restrictions valuation conflicts of interest and Independent Review Committee (IRC) continuous disclosure obligations and filings with securities regulators in coordination with compliance and regulatory / OM FundsProvide legal advice for exempt market and OM funds including fund structuring organization amendments offering memoranda subscription agreements and investor on compliance with exempt market rules prospectus exemptions and applicable CSA investor communications for private & Business AdvisoryAdvise on legal and regulatory risk and disclosure issues related to fund Risk & External Counsel ManagementSupport investment fund governance frameworks policies and with regulatory reviews audits and inquiries by securities regulators relating to investment fund :LL.B. or J.D. and member in good standing with a Canadian law society (Ontariopreferred).Five to eight years of legal experience with significant exposure to securitiesregulation and investment funds preferably gained in house or at a major Canadian law -depth knowledge of Canadian securities regulatory framework especially as it pertains to mutual funds ETFs and investment interpersonal and communication skills with the ability to influence andcollaborate across functionsEvery role at Purpose is assessed against our five values:Innovation You bring new ideas challenge the status quo and find better ways of building.
