Job Summary

Corporate Governance Law Clerk

Join a collaborative team in the insurance sector on a contract assignment covering a leave of absence. This opportunity provides valuable exposure to governance activities board administration and cross-functional collaboration in a professional environment.

What is in it for you:

Hourly salary of $37-43 based on experience.
12-month contract.
Day schedule 37.50 hours per week.
Hybrid role with 2 on-site days per week in Toronto.

Responsibilities:

Work collaboratively with the Director Subsidiary Governance and peers to support Canadian Subsidiary Boards and the Corporate Secretarys Department.
Assist in drafting governance documents including minutes resolutions and memos.
Assist in maintaining Canadian subsidiary minute books.
Assist in maintaining signing authorities for Canadian subsidiaries and update authorized signatories by following the approvals process set out in the respective signing authorization resolutions.
Collaborate with internal partners and respond to requests related to certifications signing authorizations and corporate information.
Assist with the scheduling of Board meetings and Board planning meetings.
Maintain accountability for team initiatives manage complex matters and perform other delegated or assigned duties including leading or participating in special projects as required.

What you will need to succeed:

Required qualifications

Post-secondary degree with 4 years of experience or an equivalent combination of education and relevant experience.
Experience in corporate governance.
Experience in drafting minutes.
Excellent computer skills (Microsoft Word PowerPoint Excel Outlook).
General knowledge of Canada Business Corporations Act; Insurance Companies Act (Canada); Trust and Loan Companies Act; Ontario Business Corporations Act; OSFI guidelines.
Ongoing education to stay current on applicable legislation regulations policies and rules.
Understanding implications of legislation and regulatory requirements.

Ability to work effectively in a high-volume paperless environment.

Preferred qualifications

Experience in a Corporate Secretarys Department of a public company or a law firm.
Law clerk designation.
Experience administering Board Portal platform (Diligent Boards or Boardvantage.
