Note: Candidates must have a J.D. active Texas bar admission and 2 years of venture capital or emerging companies transactional law experience. For this Venture Attorney I level we strongly prefer candidates who gained at least 2 years of professional work experience between college and law school.

Job Description
- Manage and support venture capital transactions from early-stage financings through Series A and beyond.
- Draft and review SAFE convertible note equity financing and related transaction documents.
- Advise both company-side and investor-side clients on venture and strategic corporate matters.
- Draft entity formation governance organizational and other corporate documents.
- Conduct due diligence identify risks and provide thoughtful solutions to transactional issues.
- Prepare and analyze pro forma cap tables and financing models including anti-dilution mechanics SAFE and convertible note conversions and post-money ownership calculations.
- Work closely with senior attorneys on day-to-day client matters and transaction strategy.
- Communicate directly with clients and contribute to long-term client relationships.
- Support business development efforts and help deliver practical high-quality legal solutions.
Qualifications
- Juris Doctor degree from an accredited law school.
- Active Texas bar admission.
- 2 years of venture capital emerging companies or related transactional law experience.
- Experience with SAFE convertible note Series Seed NVCA and equity financing transactions.
- Familiarity with company-side and investor-side venture transactions.
- Experience with entity formation corporate governance due diligence and transactional documentation.
- Ability to work with pro forma cap tables and financing models.
- Strong legal research writing analytical and communication skills.
- Ability to work independently while contributing effectively within a small hands-on team.
