A leading international law firm is seeking a Transactional Risk & M&A Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in advising insurers private equity sponsors strategic buyers and other market participants on sophisticated transactional risk matters arising from mergers and acquisitions.

36 years of mergers & acquisitions private equity transactional risk or corporate transactional experience

Experience representing private equity sponsors strategic buyers sellers insurers or other market participants in sophisticated M&A transactions

Experience drafting and negotiating purchase agreements disclosure schedules indemnification provisions and related transaction documentation

Experience conducting legal due diligence and identifying transaction-related risks

Experience with representations and warranties insurance transactional insurance products or transactional risk matters is preferred

Experience advising clients regarding risk allocation and indemnification structures in M&A transactions is a plus

Strong drafting negotiation analytical and communication skills

Ability to manage multiple sophisticated transactions while working directly with clients

Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted

Sophisticated M&A and transactional risk platform

Exposure to complex private equity and strategic transactions
