A premier AmLaw 50 firm is seeking a Technology Licensing & M&A Support Associate Attorney to join its Boston office.
This opportunity is ideal for an attorney interested in representing technology companies software providers life sciences companies private equity sponsors and strategic acquirers in sophisticated intellectual property transactions technology licensing and M&A support matters.
Ideal Background
35 years of intellectual property transactions and technology licensing experience gained at a national or international law firm
Experience drafting and negotiating technology licensing agreements intellectual property licenses and other complex commercial technology agreements
Experience supporting mergers and acquisitions venture capital financings and other corporate transactions through intellectual property and technology due diligence
Experience drafting and negotiating joint development agreements collaboration agreements strategic alliance agreements technology services agreements and Software-as-a-Service (SaaS) agreements
Experience negotiating distribution agreements including OEM VAR reseller channel partner and other commercial distribution arrangements
Experience advising clients on technology transactions commercialization strategies intellectual property ownership and technology transfer issues
Familiarity with open source software licensing and related compliance considerations is strongly preferred
Experience advising on artificial intelligence (AI) machine learning and emerging technology-related intellectual property issues is strongly preferred
Strong drafting negotiation analytical and client counseling skills
Ability to independently manage sophisticated transactions while collaborating effectively with multidisciplinary deal teams
Excellent academic credentials
J.D. from an ABA-accredited law school required
Massachusetts bar admission required or ability to become admitted
