Job Summary
TheCorporate Paralegalsupports Treasury and Legal byfacilitatingstructured finance and debt transactions managing SEC and debt compliance activities coordinating regulatory reporting andmaintainingcritical transaction documentation. This role partners closely with Treasury Corporate Development Investments Legal and external stakeholders to ensure financing activities securitization programs M&A transactions and compliance obligations are executed accurately efficiently andin accordance withregulatory requirements.
Responsibilities:
- Support structured finance and debt transactions including securitizations warehouse facilities private placements term loans and other financing activities.
- Manage debt compliance activities including monitoring regulatory obligationsmaintainingcompliance records and supporting annual compliance requirements.
- Manage all SEC reporting. Prepare review coordinate and file required SECreportsrelated to outstanding public securitizations ensuringtimelyandaccuratesubmissions.
- Coordinate transaction execution activities including due diligence documentation closing deliverables and post-closing requirements.
- Support mergers and acquisitions activities byassistingwith transaction documentation checklists and coordination efforts throughout the transaction lifecycle.
- Administer and track legal agreements and transaction documentation including Non-Disclosure AgreementsUCC-1financing statements renewalsUCC-3continuations and related filings.
- Coordinate ongoing securitization reporting requirements trustee communications certifications redemption activities and related compliance deliverables.
- Oversee matter management and billing processes including vendor onboarding matter administration invoice processing and Team Connect administration while partnering with internal departments outside counsel trustees and regulatory stakeholders.
Qualifications:
- Bachelors degree in Business Finance Legal Studies Accounting or a related field preferred.
- Experience supporting compliance corporate legal treasury finance regulatory reporting or related functions preferably in a law firm.
- Knowledge of SEC reporting requirements EDGAR filing platforms debt compliance contract administration or related regulatory processes.
- Proficiencywith Microsoft Office applications and the ability to learn andutilizebusiness systems and AI-enabled productivity tools.
- Strong organizational project management and multitasking skills with exceptional attention to detail.
- Excellent verbal and written communication skills with the ability to collaborate across multiple departments and external stakeholders.
- Strong analytical and critical-thinking skills with a proactive self-starter mindset.
- Ability to work independently manage multiple priorities and meet deadlines in a fast-paced environment.
