A premier AmLaw 50 firm is seeking a Securities Regulation & Corporate Governance Associate Attorney to join its Dallas office.

This opportunity is ideal for an attorney interested in representing public companies boards of directors executive leadership teams and special committees in sophisticated securities law SEC reporting corporate governance and capital markets matters.

Ideal Background

5 years of securities regulation and corporate governance experience gained at a national or international law firm

Experience advising public companies boards of directors board committees executive officers and corporate secretaries on securities law and governance matters

Strong knowledge of the Securities Exchange Act of 1934 SEC reporting requirements stock exchange listing standards and corporate governance best practices

Experience preparing and reviewing Forms 10-K 10-Q 8-K proxy statements Section 16 filings registration statements and other SEC filings

Experience advising clients on disclosure obligations periodic reporting ESG considerations insider trading compliance executive compensation disclosures and shareholder engagement

Experience supporting capital markets transactions mergers and acquisitions public company transactions and securities offerings from a securities law and disclosure perspective

Experience drafting board resolutions governance policies committee charters and other corporate governance documentation

Strong drafting analytical negotiation and client counseling skills

Ability to independently manage sophisticated public company matters while maintaining significant client interaction

Excellent academic credentials

J.D. from an ABA-accredited law school required

Texas bar admission required or ability to become admitted
