A premier global law firm is seeking a Private Equity Associate Attorney to join its Houston office.

This opportunity is ideal for an attorney interested in representing private equity sponsors portfolio companies founders management teams and institutional investors in sophisticated domestic and cross-border transactions.

Ideal Background

36 years of private equity mergers & acquisitions or corporate transactional experience gained at a sophisticated law firm

Experience representing private equity sponsors portfolio companies strategic buyers and sellers founders management teams and institutional investors

Experience handling leveraged buyouts platform and add-on acquisitions recapitalizations growth equity investments divestitures and exit transactions

Experience drafting and negotiating purchase agreements merger agreements operating agreements shareholder agreements equity investment documents and other corporate transaction documents

Experience managing legal due diligence transaction workstreams and multidisciplinary deal teams from signing through closing

Experience advising clients regarding corporate governance equity incentive arrangements and general corporate matters

Experience working on cross-border transactions energy-related private equity transactions or infrastructure investments is a plus

Strong drafting negotiation analytical organizational and communication skills

Ability to independently manage sophisticated transactions while maintaining significant client interaction

Excellent academic credentials

J.D. from an ABA-accredited law school required

Texas bar admission required or ability to become admitted
