A premier AmLaw 50 firm is seeking a Private Companies Life Sciences Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing venture-backed life sciences companies founders venture capital funds and strategic investors throughout the full corporate lifecyclefrom formation and financing through strategic growth and exit transactions.

36 years of corporate experience gained at a national or international law firm

Significant experience representing early-stage and growth-stage life sciences companies on day-to-day corporate matters

Experience advising venture-backed companies founders venture capital funds and institutional investors

Experience handling venture capital financings including seed Series A through later-stage preferred equity financings

Experience counseling emerging companies throughout their corporate lifecycle including entity formation governance commercial matters equity compensation and general corporate counseling

Experience supporting mergers and acquisitions strategic transactions IPO readiness and other liquidity events

Experience drafting and negotiating stock purchase agreements investor rights agreements voting agreements capitalization documents financing documents and other corporate transaction documents

Strong drafting negotiation analytical and client counseling skills

Ability to independently manage sophisticated transactions while maintaining significant client interaction

Excellent academic credentials from an ABA-accredited law school

New York bar admission required or ability to become admitted
