Job Summary

JOB SUMMARY:

Supports Supervisor Contracts and other Legal Team Members with: (i) performing legal research on various topics including corporate and real estate related matters; (ii) review and analysis of contracts used in various completed or proposed transactions to assist in developing template for new proposed transactions (iii) reviews contracts and other documents to prepare summaries and tracked obligations checklists (iv) contract drafting and review; and (v) administrative tasks such as contract life cycle management and scheduling. May function as the primary liaison between business units and the attorneys with respect to certain form agreements.

MAJOR RESPONSIBILITIES:

  • Drafting and reviewing boilerplate agreements including non-disclosure agreements scopes of work easements licenses; review and analysis of agreements used for prior major transactions for comparative and gap analysis to assist in developing unique templates for new transactions; track requested revisions from stakeholders and identify provisions requiring negotiation to an attorneys attention and liaise with legal finance accounting and other departments regarding contract issues; routes contracts for approvals execution and supports in closings.
  • Reviews contracts after they are signed for the purpose of preparing summaries and tracked obligations checklists. Prepare and maintain department tickler systems checklists tracking and status reports and timelines of due dates deadlines milestones contract and insurance policy termination dates government filings approvals and permits and initiate and follow up on action items.
  • Manages tracked obligations and follows up on tasks to ensure they are completed. Maintains obligation tracking software for contracts and operational licenses.
  • Review and proof easements real estate licenses deeds and other documents.
  • Conducts legal research (including corporate and real estate related matters) for the purpose of supporting both existing businesses and new businesses as they are developed and opened.
  • Understand and actively participate in Environmental Health & Safety responsibilities by following established UDX policy procedures training and team member involvement activities.
  • Perform other duties as assigned.

EDUCATION:

  • Associate degree (AA) is required - Paralegal Certificate (Bachelors degree acceptable in lieu of a Paralegal Certificate).
  • Bachelors degree is preferred - B.A. in Legal Studies or a related field.

EXPERIENCE:

  • 2 years corporate legal or law firm experience required; 4 years preferred; or equivalent combination of education and experience.
