Job Summary
Are you detail-oriented highly organized and passionate about corporate law If so Muth Electric Inc. is hiring a Corporate Paralegal. This specialized position plays a critical role in assisting our legal team with their duties ensuring the smooth operation of various business transactions and corporate compliance matters. This position is located in Muths Sioux Falls SD office.
Responsibilities & Duties
- Work closely with the in-house legal department to support and manage legal affairs for Muth Electric Inc. its partners and related holdings ensuring compliance and risk mitigation.
- Assist in the preparation and filing of corporate documents such as articles of incorporation bylaws and minutes of meetings
- Maintain and update corporate records including shareholder and director information
- Conduct legal research to support corporate actions and decisions
- Draft and review contracts agreements and other legal documents
- Manage contract lifecycle process and support the continuous improvement of contract processes
- Assist in the collection of unpaid amounts owed to the company including filing mechanics liens drafting collection letters and submitting bond claims
- Coordinate due diligence activities for mergers acquisitions and other corporate transactions
- Prepare and file annual reports and other regulatory filings
- Assist in the organization of board meetings and the preparation of meeting materials
- Monitor and ensure compliance with federal and state corporate laws and regulations
- Liaise with external legal counsel and regulatory bodies
- Maintain confidentiality and protect sensitive information
