Mid-Level Corporate Paralegal Multiple Locations

Our client is seeking a Mid-Level Corporate Paralegal with experience supporting Startup & Venture Capital transactions Capital Markets matters and Corporate Governance initiatives. Multiple Locations:Silicon Valley New York Boston San Francisco Washington D.C. Seattle or Santa Monica

RESPONSIBILITIES:

- Incorporate technology and life sciences companies and maintain corporate records

- Support venture capital financings and implement stock option plans

- Conduct Blue Sky research and manage equity platforms including Carta and Shareworks

- Support IPOs prepare registration statement backup documentation

- Manage beneficial ownership tables and assist with Section 16 reporting

- Support Rule 144 filings legend removals and transfer agent onboarding

- Prepare stock exchange applications and FINRA filings

- Organize due diligence documentation and manage electronic data rooms

- Coordinate shareholder communications and assist with regulatory filings

QUALIFICATIONS:

- 3 years of corporate paralegal experience

- Experience supporting startup and venture capital transactions

- Exposure to capital markets and public company matters

- Experience with Carta and/or Shareworks

- Strong Excel skills

- Law firm or large corporate legal department experience preferred

- Bachelors Degree and/or ABA-approved Paralegal Certificate preferred
