A highly respected national law firm is seeking a Mergers & Acquisitions / Transactional Risk Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in representing public and private companies private equity sponsors investors and other sophisticated clients in complex mergers & acquisitions and corporate transactions.

3 years of mergers & acquisitions private equity or corporate transactional experience gained at a sophisticated law firm

Experience representing public companies privately held companies private equity sponsors portfolio companies and strategic buyers and sellers

Experience handling mergers acquisitions dispositions joint ventures recapitalizations and other strategic corporate transactions

Experience drafting and negotiating purchase agreements merger agreements disclosure schedules operating agreements shareholder agreements and related transaction documentation

Experience conducting and managing legal due diligence identifying transactional risks and coordinating all phases of sophisticated transactions

Experience advising clients regarding corporate governance entity formation and general corporate matters

Strong drafting negotiation analytical organizational and communication skills

Ability to independently manage sophisticated transactions while maintaining significant client interaction

Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted

Sophisticated national corporate and M&A platform

Exposure to complex middle-market and upper-middle-market transactions

Significant client interaction and responsibility
