About the Role:

A leading international law firm is seeking a Senior Associate or Of Counsel to join its Corporate practice in Dallas with a focus on private equity transactions and portfolio company representation. This is an exceptional opportunity for an experienced attorney looking to work closely with private equity sponsors management teams and portfolio companies on sophisticated transactions across a variety of industries.

The successful candidate will advise private equity firms and their portfolio companies throughout the investment lifecycle including acquisitions equity investments co-investments governance matters and strategic transactions. This role offers significant client interaction substantial responsibility and the opportunity to play a key role in high-value transactions while working alongside a collaborative and nationally recognized team.

Key Responsibilities:

• Advise private equity sponsors and portfolio companies on a broad range of corporate and transactional matters.
• Structure negotiate and document equity investments co-investments and strategic transactions.
• Draft and negotiate limited liability company agreements limited partnership agreements shareholder agreements investor rights agreements and related transaction documents.
• Counsel clients on corporate governance ownership structures and day-to-day operational matters.
• Advise on management equity arrangements including incentive equity structures and related documentation.
• Support clients throughout the investment lifecycle from acquisition through exit.
• Collaborate on mergers acquisitions recapitalizations and other complex corporate transactions.
• Conduct legal due diligence and identify transaction-related risks.
• Manage transaction timelines and coordinate with clients opposing counsel and other advisors.
• Build and maintain strong client relationships through exceptional service and strategic counsel.

Qualifications:

• J.D. degree from an ABA-accredited law school with strong academic credentials.
• Minimum of 5 years of private equity transactional experience at a law firm.
• Significant experience advising private equity firms and portfolio companies.
• Experience drafting and negotiating LLC agreements LP agreements shareholder agreements investor rights agreements and related transaction documentation.
• Experience with management equity and incentive compensation arrangements.
• Familiarity with private equity fund structures and documentation preferred.
• Mergers and acquisitions experience is a plus.
• Texas Bar admission or eligibility to become admitted in Texas.
• Excellent drafting negotiation analytical and communication skills.
• Ability to manage multiple complex matters in a fast-paced environment.
• Strong business judgment and client relationship management skills.
