Purpose of Role

This role exists to drive strategic commercial alignment cultural transformation and consistent organizational excellence for delivering Worleys Projects. It plays a critical part in cultivating commitment to changeespecially when bold shifts are needed to realize Worleys vision. By setting clear goals and ensuring synergy between people processes and tools the role enables a driven and focused commercial intelligence access our bids transformation and execution to close out of our of Projects. It also focuses on building a competitively superior organization by attracting developing and retaining top talentensuring the right skills with the right talent in the focused roles across the commercial landscape of Worley.

Global Alignment and Consistency

Global operational leaders implementing strategies within a complex area requiring a broad grasp of practices or principles in a highly specialized field or in cross-functional setting. Frequently integrates with other functions to drive broader work strategies which may impact Worley. Generally manage work through others. Will have a high degree of autonomy operating within general management direction and functional policies. Develops and oversees objectives policies and procedures for the next 1- 5 years.

Customer/Stakeholder Advocacy

Owns and strengthens strategic customer and partner relationships at the regional level and where required at Group Executive (GE) level acting as the senior commercial advocate for consistency in how Worley engages with key customers and partners by setting clear expectations frameworks and direction for senior commercial engagement ensuring a unified approach tone and value proposition across regions and sectors.

Leads and influences complex commercial negotiations including claims management and dispute avoidance to protect Worleys commercial outcomes while maintaining constructive longterm customer relationships. Brings deep experience inJoint Ventures alliances and partnership models particularly duringpreaward and proposal phases shaping commercial structures risk allocation and governance to support successful and sustainable outcomes.

Provides clear pragmatic advice to Worley executiveson highimpact customer partner and commercial matters including recommended positions options tradeoffs and consequences to enable informed timely decisionmaking.

Translates customer and partner expectations into clear commercial priorities aligning internal stakeholders to deliver consistently on commitments address emerging issues early and reduce delivery and relationship risk.

Establishes disciplined stakeholder engagement and governancefor key accounts including engagement cadence escalation pathways and issueresolution mechanisms to sustain trust performance and longterm value

Commercial Judgement & Decision Quality

Accountable for raising the quality consistency and maturity of commercial judgement across Worley including guidance on valuebased tradeoffs entitlement pursuit relationship considerations and riskreward balance in project and portfolio decisionmaking. Sets enterprise expectations for contract strategy entitlement posture and dispute avoidance across bids and projects and intervenes selectively on highestrisk or highestimpact matters. Ensures material exposures are surfaced and quantified to support risk-based decisions and governance outcomes.

Commercial Escalation & Claims Readiness

Oversight of commercial escalation pathways to ensure emerging disputes claims and material commercial issues are identified early commercially framed evidenceready and valuefocused prior to formal Legal engagement. Monitors and challenges commercial performance signals across the portfolio (margin quality cash exposure change realisation) to identify systemic issues and intervention points. Sets expectations for claims readiness (contemporaneous records notice/time-bar compliance entitlement strategy and escalation triggers) to prevent value leakage and avoid disputes.

Commercial Governance & Consistency

Owns the definition implementation and continuous improvement of commercial governanceinuse across Worley ensuring consistent application of commercial standards delegation of authority escalation thresholds and lifecycle discipline across regions and sectors.

One-networked team

Establishes and maintains a globally connected commercial leadership community enabling consistent decisionmaking escalation knowledge sharing and peer challenge on material commercial matters.

Commercial Capability & Succession

Accountable for the strength and sustainability of Worleys senior commercial capability including development pathways succession for critical roles and readiness of commercial leaders to support strategy and risk profile.

Head the Group Commercial Leadership to steer strategy and focused commercial value. Oversees motivates and monitors the performance of the leadership ensuring quality and KPI delivery. Creates strong collaborative team environment by establishing common vision setting clear expectations and ownership Provides consul and skilled support to strategic bids and projects for prime contract management and negotiations. Able to lead cross-functional teams addressing strategic initiatives for Worley.

Contractual Understanding

Demonstrates deep understanding of prime contract structures risk allocation and commercial levers across the project lifecycle (bid to close-out). Interprets and communicates key contractual mechanisms clearly (scope payment variations programme/time liability/indemnities caps/exclusions termination) to support sound decision-making. Shapes contract strategy and negotiating positions that balance value risk and relationship outcomes aligned to Worleys governance and risk appetite. Identifies and manages key contractual triggers early (notice requirements time bars substantiation) to preserve entitlements and prevent avoidable disputes. Applies working knowledge of common industry forms and delivery models (e.g. FIDIC/NEC and reimbursable/fixed price/EPCM/EPC) sufficient to guide teams and challenge assumptions.

Commercial Intelligence

Strong understanding of business drivers and strategic imperatives. Knowledge understanding and experience of project and business financial reporting. Deep understanding and knowledge of project and business cost base and basis for project gross margin business profit. Demonstrated experience of different commercial models including lump sum services fixed fee incentive schemes reimbursable rates at-cost and LS EPC. Demonstrated experience of projects undertaken where commercial/contract risk of equipment/material suppliers and construction contracts is taken by Worley. Knowledge of cash-flow analysis and management. Ability to assess commercial impacts and develop mitigations due to confluence of execution contract and commercial issues. Leads lifecycle value protection and improvement by setting expectations for bid to close commercial rigour (contract strategy margin/cash protection exposure transparency and close-out discipline) and by intervening early when value leakage is emerging.

Risk and Opportunity Management

Knowledge understanding and experience of commercial and contract opportunities and risk particularly as it relates to Worleys prime contract. Able to relate commercial and contract opportunities and risks within a contract to the project events that can materialise the risk. Knowledge and understanding of specific and general contingency assessment and drawdown. Lead the education on how we develop contingency manage and report. Drawdown. Ability to identify opportunities and risks within commercial / contractual area and from execution performance. Ability to provide recommendations to mitigate risks and manage risk mitigation activities. Ability to influence and agree commercial opportunities within the contract and deliver with the team.

Management of Project Change

Lead the cultural change on change management as a commercial tool for Worley. Not an admin task. Have clear knowledge understanding and experience of basis and process of change management. Knowledge and understanding of importance of contractual obligations related to change management including time bars. EOT. LD disputes and back-to-back with Sub contractors.

Communication

Excellent communication skills both written and verbal simply make it simple. Focused communication essential technical base but common sense contract explaining and options key. Able to communicate and own the room when articulating the project / business commercial strategy including generation of the project commercial / contract summary. Ability to provide project written commercial responses (contract letters). Able to distil summarise and present complex commercial / contractual matters in a concise accurate and succinct manner.

Qualifications Accreditation Training

Chartered and Degree level Qualification with MSc /MBA level step up for global leadership combined with front facing delivery with clients and PL owners. Must have professional chartered and executive leadership training.

Job Specific Knowledge/ Experience

Experience across major delivery models and contract forms relevant to Worleys portfolio (e.g. EPC/EPCM and reimbursable/fixed-price; common industry forms such as FIDIC/NEC). Key experience in prime contract commercial/contractual negotiation with customers. Experience in Joint Venture / partnership proposals / projects.

Strategic thinking focus and influences key attribute. The ability to bring solutions not problems options pivot and core negotiation skills and talent is essential.

Ability to work at a high level and show solutions on the ground. Lead by example but let talent lead.
