About the Role

The position

In support of the firms exciting growth opportunity in the US Wealth channel we are currently seeking to recruit a high-quality Fund Governance Analyst to join our Funds team in the US. This individual will partner closely with legal compliance product and risk stakeholders and support the continued build out of our US Funds platform.

Wellington Management sponsors over 300 commingled investment vehicles globally with AUM of over $150 billion. This role will play a key part in delivering against our growing 40 Act platform by supporting execution coordination and analysis across a range of commingled fund initiatives that will be offered broadly to US retail investors through a wide range of financial intermediaries.

The Fund Governance Analyst is responsible for supporting the governance framework regulatory alignment and ongoing oversight of Wellingtons growing 1940 Act fund range with a strong focus on process discipline documentation quality crossfunctional coordination and oversight of fund events. This role is intended to expand capacity within the US Funds team and ensuring that fund initiatives are delivered in line with internal governance standards regulatory expectations and fiduciary responsibilities.

Job Description

The role partners closely with Wellington Managements 40 Act stakeholder group including Sales Product Management Legal Compliance Risk Operations and Tax teams to support the effective implementation of governance standards and regulatory requirements. Specific responsibilities include:

Policy and Procedure Maintenance: The Fund Governance Analyst plays a key role in the ongoing maintenance of policies and procedures applicable to the 40 Act fund platform supporting their accuracy consistency and alignment with regulatory requirements and internal governance standards. This includes coordinating periodic reviews tracking regulatory or businessdriven updates and working closely with Legal Compliance Risk and Product teams to ensure policies and procedures remain current clearly articulated and operationally effective. The role supports the disciplined implementation of approved policies across the fund lifecycle and helps ensure that governance documentation provides a clear and reliable framework for daytoday fund oversight.

Approval Frameworks and Escalation Discipline: A core responsibility of the role is supporting the documentation and execution of clear approval and escalation processes for key fundrelated decisions ensuring transparency accountability and regulatory defensibility. This includes helping to define decision authorities required approvals escalation thresholds and governance forums for matters such as fund launches material changes exceptions and risk or compliance issues. By maintaining robust records of approvals decision rationales and escalation outcomes the Fund Governance Analyst helps ensure that decisionmaking processes are wellgoverned consistently applied and capable of standing up to internal review audit scrutiny and regulatory inquiry.

Legal Regulatory and Company Administration Support: The role provides handson support for legal regulatory and company administration activities across the fund platform helping to ensure adherence to applicable regulatory obligations and internal standards. This includes supporting the preparation and coordination of required regulatory filings with authorities such as the SEC maintaining accurate corporate and director information within entity management systems and ensuring statutory records are complete and up to date. The Fund Governance Analyst also supports the preparation and administration of board and shareholder written resolutions and acts as a coordination point for document execution and record retention.

Board Committee and Secretarial Support: The Fund Governance Analyst supports the effective operation of boards and committees by assisting with meeting planning agenda preparation materials distribution minutetaking and action tracking. The role helps ensure that decisions approvals and followup actions are clearly documented communicated and retained in line with governance standards while coordinating closely with senior management and key stakeholders. Through the provision of administrative and secretarial support the role contributes to wellrun governance forums clear decisionmaking records and a strong control environment across the 40 Act fund platform.

Experience and preferred knowledge:

Ideally 13 years experience in asset management with exposure to the US funds industry and experience supporting 40 Act fund initiatives.

Knowledge of capital markets.

A strong interest in corporate governance compliance and regulatory matters

Our approach to compensation considers all aspects of total compensation; all employees are eligible to receive salary variable compensation and benefits. The base salary range for this position is:

USD 80000 - 150000

This range takes into account the wide range of factors that are considered when making compensation decisions including but not limited to skill sets; role; skills and experience; certifications; and education. This range is an estimate and further details on salary and total compensation aspects will be shared with candidates during the recruitment process.

Base salaryis only one component of Wellingtons total compensation approach. Other rewards may include a discretionary Corporate Bonus and/ or Incentives if eligible.
