A highly respected national law firm is seeking an ESOP Transactions & Services Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in representing companies trustees lenders and ESOP-owned businesses in sophisticated employee stock ownership plan transactions and related corporate matters.

3 years of experience with ESOP transactions employee benefits executive compensation tax corporate or finance matters gained at a sophisticated law firm

Experience advising clients on Employee Stock Ownership Plans (ESOPs) and related transactional matters

Experience with ESOP formations acquisitions recapitalizations financing transactions and ownership transitions

Experience drafting and negotiating transactional documents corporate agreements financing documents and related legal documentation

Experience advising clients regarding ERISA Internal Revenue Code corporate governance and fiduciary matters is preferred

Experience representing companies trustees lenders or shareholders in sophisticated transactions is a plus

Strong drafting negotiation analytical organizational and communication skills

Ability to independently manage sophisticated transactions while maintaining significant client interaction

Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted

Nationally recognized ESOP and corporate transactions practice

Exposure to sophisticated ownership transition and financing transactions

Significant client interaction and responsibility
