Job Description:

Johnson & Johnson announced plans to separate our Orthopaedics business to establish a standalone orthopaedics company operating as DePuy Synthes. The process of the planned separation is anticipated to be completed within 18 to 24 months subject to legal requirements including consultation with works councils and other employee representative bodies as may be required regulatory approvals and other customary conditions and approvals. Job Overview

The Director Business Development & Investmentprovideslegal support for mergers and acquisitions with both publicly traded and private companies asset sales and purchases venture investments licensing divestituresreorganizationsand complex strategic alliance agreements.TheDirector will advisebusiness leaderson transactionsand collaborate with business development professionals to negotiate deal terms conductlegalduediligenceand mitigate deal risks. The role has a significant impact on innovation competitive positioning and sustainable growth across the orthopedics portfolioin a highlyregulated innovationdriven environment.

Key Responsibilities

  • Provide legal support for transactionsidentifiedabove advisingon transaction evaluation risk mitigation deal structuring competition lawreviewand negotiation of deal terms.

  • Advise onventure capital investments including on issuesrelated to equity position or rights Board positions corporate governance issues loanagreementsand any relateddisputes.

  • Support legal due diligence on transactions in collaboration with other functions including health care compliance regulatory and finance and advise on measures to address due diligence findings.

  • Negotiate and draft agreements working with outside counsel.

  • Advise onany competition law review of transaction and any required related divestiture.Provide clear conciserecommendations tosenior leadership and governance forums.

Qualifications

Education

  • Juris Doctor from a nationally recognized law school.

  • Admitted to practice in at least one U.S.jurisdiction.

Experience and Skills

  • A minimum of 8 years of experience at a top-tier major market law firm or in-house legal department of a multinational corporation

  • Ability to analyzestructureand negotiate all elements of the transactions described above.

  • Demonstratedtrack recordadvising oncomplex transactions

  • Ability to analyze structure and negotiate all elements of the transactions described above

  • Experience in cross-border or foreign transactions.

  • Strong strategic thinking negotiation and drafting skills.

  • A candidate must have strong collaborative skills and the ability to play a variety of roles in a deal.

  • Proven ability to influence senior stakeholders andoperateeffectively in a matrixed global organization.

Preferred

  • Representation of clients in medicaldevice medtech orthopedics or other highly regulated healthcare industries.

  • Prior experience with transactions in the life sciences industry (i.e. pharmaceutical medical devicemedtechand/or consumerhealthcare) willbe viewed favorably.

  • Experience working withearlystageinnovation robotics digital healthsoftwareor enabling technologies.

  • Demonstrated experience in competition law review of transactions.

  • Travel: Up to 2030% domestic and/or international travel.

The anticipated base pay range for this position is :

$150000.00 - $258750.00

Additional Description for Pay Transparency:

Subject to the terms of their respective plans employees are eligible to participate in the Companys consolidated retirement plan (pension) and savings plan (401(k)).



This position is eligible to participate in the Companys long-term incentive program.



Subject to the terms of their respective policies and date of hire employees are eligible for the following time off benefits:

Vacation 120 hours per calendar year

Sick time - 40 hours per calendar year; for employees who reside in the State of Colorado 48 hours per calendar year; for employees who reside in the State of Washington 56 hours per calendar year

Holiday pay including Floating Holidays 13 days per calendar year

Work Personal and Family Time - up to 40 hours per calendar year

Parental Leave 480 hours within one year of the birth/adoption/foster care of a child

Bereavement Leave 240 hours for an immediate family member: 40 hours for an extended family member per calendar year

Caregiver Leave 80 hours in a 52-week rolling period10 days

Volunteer Leave 32 hours per calendar year

Military Spouse Time-Off 80 hours per calendar year
