Job Summary
Counsel Contracts
Thecounsel position will report totheManaging Counselandwillwork closely with other legal leaders seniorcounseland team memberstoprovidelegalservices support and adviceon complex and routinetransactionalmattersinvolving the enterprise care deliverysystemand health plan.
- Draft review and negotiatehigh volume ofcommercial agreements includinghealth system-specificsupply chainagreementswhich involvethe purchase ofboth products( devices equipment disposables)and services.
- Provide counsel to enterprise-levelsupply chainleaderson key commercial terms including pricing methodologies rebates and incentivesdelivery termswarranties indemnification limitation of liability insurance confidentialityintellectual propertyownership/licensing and audit rights.
- In consultation with internallegalcolleagues draft review and negotiate core acquisition and combination agreements including asset purchase agreements stock purchase agreements membership interest purchase agreements merger/contribution agreements governance documents joint venture agreements letters of intent confidentiality agreements and ancillary documents to ensure documents reflect business objectives and regulatory compliance.
- Provide supportto enterprise leadersfor transactional workstreams including due diligence oversightfair market valueassessments and coordination of internal and external teams including management of transaction timelines milestone tracking and closing processes.
- Demonstrate curiosity and a willingness to support clients andlegal team memberson matters which may be new to your a service mindset and ability toestablishand maintainrelationships with clients andfellow team members in and outside the department.
- Issue-spot andadviseon regulatory and compliance considerations that frequently intersect with commercial contracting (e.g. HIPAA/dataprivacydatasecurityrebates/referral/compensation concerns under Starkand Anti-Kickback) partnering withinternallegal subject matter expertsCompliance PrivacyInformationSecurity and Financeas appropriate.
- Apply understanding of health system operations to deliver actionable practical business-focusedlegal advice whenadvisingontransactions regulatory considerations risk allocation and alignment with organizational strategy.
- Communicate legal concepts in a clear and concise manner to non-legal business and senior leaders.
- Establish andmaintaincollaborative working relationships withand as neededprovidementorshipdirectionand guidance tofellow attorneys legal specialistsand other team membersthroughout the organization.
- Foster andmaintainrelationships with and providecost-effectiveuse andoversight of external legal counselconsultantsand advisors.
Qualifications
Required
- Doctorate from an ABA accredited law school
- 5 years of relevant experience Broadcommercial transactional experienceincluding experiencewith materialsupply chainagreementsmergers and acquisitionsandcorporate healthcare transactions.
- Attorney working as counsel - ABA American Bar Association Upon Hire
Preferred
- 2years of relevant experience and knowledge of and ability toprovidelegal guidance on health laws such as Stark Law AKSFalse Claims ActHIPAA/dataprivacyand security.
- 2years of relevant experience in healthcare industry serving healthcareclientsas a private practice attorneyand/orashealthcare in-houseattorney.
