A leading international law firm is seeking a Corporate Transactions & Capital Markets Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in representing public and private companies private equity sponsors investment banks and other market participants in sophisticated corporate transactions and capital markets matters.

36 years of corporate transactional and/or capital markets experience

Experience with capital markets transactions mergers & acquisitions securities offerings and general corporate matters

Experience representing issuers underwriters private equity sponsors or public companies preferred

Experience advising clients on public and private securities offerings SEC reporting obligations and corporate governance matters

Experience drafting and negotiating purchase agreements underwriting agreements registration statements disclosure documents and other transaction documents

Experience with public company reporting including Forms 10-K 10-Q 8-K proxy statements and other SEC filings is a plus

Strong drafting negotiation analytical and communication skills

Ability to manage transactions and work directly with clients

Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted

Sophisticated corporate transactions and capital markets platform

Exposure to complex domestic and cross-border transactions
