Location: This is an on-site opportunity based in Canfield Ohio offering a strong professional home in the greater Youngstown market with access to a well-established regional business community.

Note: Candidates must be licensed to practice law in Ohio and should bring 5 years of transactional attorney experience. The ideal candidate will have 8 years of corporate transactional experience.

Job Description

• Draft review negotiate and revise a wide range of corporate and commercial agreements.
• Advise clients on business transactions entity formation governance contract matters and general corporate legal needs.
• Support mergers acquisitions business succession matters commercial transactions and other deal-related work.
• Conduct legal research review due diligence materials and help identify practical legal and business risks.
• Work directly with partners clients opposing counsel and internal teams to move transactions forward efficiently.
• Prepare closing documents resolutions operating agreements purchase agreements and related corporate documentation.
• Manage multiple transactional matters deadlines and client priorities with strong attention to detail and sound legal judgment.
• Build trusted client relationships through responsive communication practical advice and high-quality work product.

Qualifications

• Ohio law license required.
• 5 years of transactional attorney experience required.
• 8 years of corporate transactional experience strongly preferred.
• Experience with corporate law commercial contracts business transactions entity formation governance mergers and acquisitions or related transactional matters.
• Strong drafting negotiation analytical and client communication skills.
• Ability to manage multiple matters and deadlines in a professional law firm environment.
• Detail-oriented business-minded organized and able to work collaboratively with attorneys staff and clients.
