A highly respected national law firm is seeking a Corporate Transactional Associate Attorney to join its Wilmington office.

This opportunity is ideal for an attorney interested in working on sophisticated middle-market and upper-middle-market corporate transactions including mergers and acquisitions private equity transactions corporate governance matters and general business counseling.

Mergers & acquisitions transactions
Private equity acquisitions and investments
Corporate governance and entity management
Business formation and organizational matters
Drafting and negotiating transaction documents
Due diligence and transaction management
General corporate counseling for public and private companies
Direct client interaction and substantive transactional responsibility
Collaboration with a sophisticated national corporate team

Approximately 36 years of corporate transactional experience
Experience with M&A private equity corporate finance or general corporate transactions strongly preferred
Experience drafting and negotiating purchase agreements operating agreements shareholder agreements and ancillary transaction documents preferred
Strong drafting analytical and communication skills
Strong business judgment and client-service orientation
Excellent academic credentials
Juris Doctor from an ABA-accredited law school required
Delaware bar admission preferred or ability to become admitted in Delaware
