Job Description

Summary:
This role is ideal for an experienced Corporate Paralegal with a strong background in corporate governance and transactional support. You will support attorneys within a Venture Capital and Technology practice assisting with corporate filings entity management and M&A transactions. The position requires strong attention to detail organizational skills and the ability to manage multiple priorities in a fast-paced legal environment.

What You’ll Do:

  • Prepare and file corporate documents including amendments mergers dissolutions and conversions.
  • Maintain corporate records minute books stock ledgers and ownership documentation.
  • Draft and submit IRS forms (EIN applications S-Elections) and manage compliance filings.
  • Assist with mergers and acquisitions including disclosure schedules and closing checklists.
  • Manage UCC filings and conduct lien litigation and bankruptcy searches.
  • Organize data rooms and support document production for transactions.
  • Prepare and file annual reports and ensure compliance with regulatory requirements.

Experience You’ll Need:

  • 3 years of corporate paralegal experience in a law firm setting.
  • Strong knowledge of corporate governance filings and transactional processes.
  • Experience supporting M&A transactions and corporate structuring.
  • Proficiency in legal technology tools and document management systems.
  • Strong analytical organizational and communication skills.
  • Ability to manage multiple deadlines in a fast-paced environment.
