We are seeking a pragmatic and business-oriented lawyer to provide legal support to our Direct Sourcing team as it pertains to the procurement of raw materials components equipment and other products critical to manufacturing. This role will advise on a broad range of commercial and operational matters relating to supplier relationships contracting and other sourcing activities and will help the business manage risk while enabling efficient procurement.Key Responsibilities
- Provide day-to-day legal support to the Direct Sourcing team on supplier-facing matters.
- Advise on legal matters arising from the sourcing of raw materials components equipment and other products used in manufacturing.
- Draft review negotiate and advise on a wide range of commercial agreements including but not limited to supply agreements terms and conditions for purchase and non-disclosure agreements.
- Support the business in managing supplier risk including but not limited to providing legal support for any disputes claims or contract enforcement matters that may arise.
- Advise on applicable laws and regulations relating to sourcing matters.
- Support supplier onboarding and due diligence in coordination with procurement stakeholders.
- Help develop training and reference materials for the Direct Sourcing team.
- Collaborate with internal stakeholders regarding contracting processes and governance.
- Manage external counsel where needed while controlling legal spend.
Minimum Qualifications
- Juris Doctor (JD) from an accredited law school.
- Active bar membership in good standing in any U.S. state and ability to obtain membership to the Kentucky Bar.
- 5 years practicing law in a law firm and/or corporate legal department with expertise in commercial transactions.
- Proven experience drafting negotiating and managing commercial contracts including supply agreements.
- Experience with using contract lifecycle management tools to process contracts.
- Knowledge of regulatory and compliance issues relevant to sourcing.
- Experience handling commercial disputes and claims.
- Ability to manage multiple projects in a fast-paced environment while maintaining attention to detail.
- Excellent problem-solving and issue spotting skills with sound judgment and the ability to balance legal and business considerations.
- Strong interpersonal and communication skills to effectively collaborate with stakeholders.
- Willingness to travel occasionally as needed to support business partners.
