Position Overview

The Corporate Counsel role reports to Catamounts Counsel and provides legal support across Catamounts operations with a primary focus on contract drafting negotiation dispute resolution and day-to-day legal advisory services. The Corporate Counsel will provide support to Counsels role as a key partner to executive leadership and regional teams to reduce enterprise risk manage claims and compliance standardize legal practices and provide practical guidance that enables leaders to focus on project acquisition project execution and people development. The role emphasizes strong judgment contract expertise and the ability to navigate complex construction-related legal matters while building trusted relationships across the organization.

Role & Responsibilities:

  • Upstream Contract Management (Prime Contracts)
    • Draft review redline and negotiate prime contracts with project owners including a variety of AIA contracts ConsensusDocs contracts and custom agreements.
    • Manage the full contract lifecycle from initial draft through execution and fulfillment coordinating with business leadership and project teams on deal terms risk allocation and enforcement.
    • Advise internal stakeholders on contract interpretation risk provisions indemnity clauses insurance requirements limitations of liability and dispute resolution practices.
    • Assist Counsel in maintaining Catamounts standard contract templates and playbooks to reflect current legal standards lessons learned and company risk tolerance.
  • Downstream Contract Management (MSAs PSAs and Purchase Orders)
    • Collaborate with internal stakeholders to manage the subcontract lifecycle from negotiating terms/modifications through operational application execution and fulfillment coordinating with business leadership and project teams on deal terms risk allocation and enforcement.
    • Negotiate Master Subcontract Agreements (MSA) and Work Authorizations with subcontractor trade partners.
    • Support negotiation and review of Professional Services Agreements (PSA) with architects engineers surveyors and other consultants.
    • Review and advise on purchase orders and direct material procurement agreement as needed.
    • Counsel project teams on scope-of-work provisions work authorization terms flow-down requirements and subcontractor obligations.
  • Dispute Resolution and Litigation Management
    • Manage and resolve contract disputes with subcontractors owners and other project stakeholders including negotiation of settlements and enforcement of contractual remedies.
    • Handle litigation matters (where licensed) including complaints answers motions discovery depositions and trial support where appropriate.
    • Hire direct and oversee outside counsel on matters in jurisdictions or matters requiring external support.
    • Coordinate with insurance carriers counsel and consultants on insured claims including construction defect matters and HR/personnel matters.
    • Manage document production and preservation efforts related to active disputes and litigation.
  • Legal Advisory and Business Support
    • Serve as a day-to-day resource for executive leadership corporate departments business units and project teams on contract interpretation risk and operational issues.
    • Provide legal counsel to executive leadership and the People Team on employment-related matters including complaints investigations and employment related issues.
    • Create and deliver training to leadership teams and operational personnel regarding legal and legal-adjacent topics applicable to their work.
    • Review and advise on commercial agreements such as office leases vendor contracts and service agreements.
    • Assist with corporate transactions and strategic initiatives as they arise including joint ventures teaming agreements intellectual property and M&A activities.

Skills & Qualifications

  • Juris Doctor (JD) from an accredited law school is required.
  • Active bar admission in good standing in at least one U.S. state required (Colorado Texas and/or Georgia strongly preferred); must be willing and able to obtain Colorado licensure (and potentially others) through reciprocity or examination.
  • At least 8 years of relevant legal experience with track record of increased responsibility; construction or AEC (Architecture Engineering and Construction) industry experience strongly preferred.
  • Litigation experience required including direct representation or substantive management of outside counsel.
  • Demonstrated experience drafting reviewing and negotiating construction contracts (e.g. AIA ConsensusDocs and custom owner and subcontractor agreements).
  • Familiarity with corporate governance and HR/employment matters preferred.
  • Strong ethical foundation including familiarity with application of anti-kickback statutes.
  • Strong negotiation analytical and written communication skills.

Salary Range

$155000 - $180000 USD
