Provides legal support across corporate and operational functions including corporate contract review corporate governance and compliance support licensing intellectual property and trademark matters labor and employment matters real estate matters and mergers and acquisitions support.
Provide practical and business oriented legal advice regarding contracting compliance operational and corporate matters
Support corporate governance matters including maintenance of entity records drafting and reviewing operating agreements and preparing resolutions consents and other governance documents across a multi-entity corporate structure
Review draft negotiate and interpret a wide range of commercial agreements and transactional documents
Support corporate contract review processes across multiple business groups and operating entities
Coordinate intellectual property and trademark matters including managing outside counsel relationships supporting trademark registration and maintenance activities and advising internal stakeholders on IP-related questions
Assist with labor and employment matters including policy review employee related issues and coordination with outside counsel as needed
Support licensing and specialty licensing compliance efforts across multiple jurisdictions
Assist with real estate transactions leases property related agreements and due diligence matters
Support mergers acquisitions integrations and other strategic corporate transactions
Partner with operations and executive leadership to identify evaluate and mitigate legal and operational risk
Collaborate cross functionally with operations finance human resources risk management procurement and executive leadership
Develop proactive legal solutions that align with business objectives while minimizing exposure
Support strategic initiatives process improvements and other department or company objectives as assigned
Required Education Experience and Qualifications
Juris Doctor (J.D.) from an accredited law school
Licensed attorney in good standing
At least 2-5 years of legal experience required
Experience drafting reviewing and negotiating commercial contracts and transactional documents
Strong knowledge of contract law corporate governance and risk mitigation strategies
Ability to provide practical business focused legal guidance in a fast-paced environment
Strong communication negotiation organizational and problem-solving skills
Ability to manage multiple priorities and collaborate cross functionally with leadership and business team
Strong analytical organizational and problem solving skills
Excellent written and verbal communication skills
Sound business and legal judgment
Ability to think strategically and provide practical risk based guidance
Ability to manage multiple priorities in a fast paced environment
Strong collaboration and relationship building skills across diverse teams
Preferred Education Experience and Qualifications
Experience supporting corporate operational and commercial legal matters preferred
Experience supporting labor and employment licensing intellectual property and trademark compliance real estate and corporate transactions preferred
Experience supporting mergers and acquisitions integrations and due diligence activities preferred
Travel Requirements
