About the Role:

A leading international law firm is seeking a Capital Markets & Corporate Compliance Associate with 4 5 years of experience to join its Denver office. This is an exceptional opportunity for an attorney looking to build a sophisticated corporate practice while working closely with public and private company clients on a broad range of capital markets securities corporate governance compliance and transactional matters.

The successful candidate will work directly with experienced partners and clients on complex domestic and cross-border transactions public company reporting obligations corporate governance matters securities compliance and strategic corporate initiatives. Key Responsibilities:

  • Advise public and private companies on securities law compliance and corporate governance matters.
  • Assist clients with ongoing reporting and disclosure obligations under the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Support public and private securities offerings and other capital markets transactions.
  • Draft and review SEC filings corporate governance documents and compliance-related materials.
  • Advise boards of directors management teams and corporate stakeholders on governance and regulatory matters.
  • Assist with mergers acquisitions strategic investments and other corporate transactions.
  • Support domestic and cross-border transactions involving U.S. and international clients.
  • Conduct legal due diligence and identify regulatory and transactional risks.
  • Coordinate with clients opposing counsel financial advisors and other transaction participants.
  • Build and maintain strong client relationships through responsive and practical legal counsel.

Requirements:

  • J.D. degree (or equivalent) from an accredited law school.
  • 4 5 years of corporate law experience with significant exposure to capital markets and corporate compliance matters.
  • Experience advising clients on securities law compliance under the Securities Act of 1933 and Securities Exchange Act of 1934.
  • Experience with corporate governance public offerings and M&A transactions.
  • Experience supporting cross-border transactions involving U.S. and international markets.
  • Colorado Bar admission or eligibility to become admitted in Colorado.
  • Strong analytical drafting negotiation and communication skills.
  • Excellent organizational and project management abilities.
  • Strong academic credentials.
