A highly respected national law firm is seeking a Capital Markets & Corporate Compliance Associate Attorney to join its Denver office.

This opportunity is ideal for an attorney interested in representing public companies issuers and other sophisticated clients in capital markets transactions SEC reporting and corporate governance matters.

45 years of capital markets securities corporate governance or corporate transactional experience gained at a sophisticated law firm

Experience representing public companies issuers and other market participants in capital markets and securities matters

Experience handling public and private securities offerings including equity and debt offerings

Experience advising clients regarding SEC reporting obligations Exchange Act compliance and ongoing disclosure requirements

Experience preparing and reviewing Forms 10-K 10-Q 8-K proxy statements and other SEC filings

Experience advising boards of directors and management teams regarding corporate governance securities law compliance and stock exchange requirements

Experience drafting and negotiating offering documents registration statements and related transaction documentation is preferred

Strong drafting analytical organizational and communication skills

Ability to manage sophisticated matters while working directly with clients and deal teams

Excellent academic credentials

J.D. from an ABA-accredited law school required

Colorado bar admission required or ability to become admitted

Sophisticated national capital markets and corporate governance platform

Exposure to complex securities offerings and public company matters

Significant client interaction and responsibility
