What you will do-
As Corporate Counsel you will be a critical member of Aspens Legal team responsible for providing legal advice counseling and support on a wide variety of legal matters relating to Aspens business including contracts compliance corporate governance labor and employment risk management litigation and dispute resolution and SEC/public company matters. The successful candidate will work collaboratively and with minimal supervision as part of a fast-paced and versatile legal team. The candidate will address complex issues and deliver practical and business-focused legal advice; draft negotiate and manage a wide variety of commercial (customer and supplier) and other agreements; monitor and advise the business on relevant legal and regulatory developments; deliver presentations and training; manage special projects; and serve on cross-functional teams. This position will collaborate with Aspens executive management external advisors and functional areas including Sales & Marketing Commercial Operations Global Supply Chain Research & Development Finance Information Technology Human Resources Investor Relations and other key stakeholder groups. This role is well-suited to a proactive hands-on detail-oriented intellectually curious business focused and versatile attorney who thrives in a collaborative and fast-paced work environment.
This position will report to the Chief Administrative Officer and will be based in our Northborough MA office.
How will you do it-
- Provide substantive strategic legal advice to support various business functions including Sales & Marketing Commercial Operations Global Supply Chain Research & Development Finance Information Technology Human Resources and Investor Relations to assist Aspen in navigating legal regulatory and compliance issues across the globe
- Draft negotiate and manage a wide range of agreements including commercial agreements (customer and supplier) channel partner agreements confidentiality agreements consulting agreements joint venture/development agreements license agreements real estate agreements and other agreements related to Aspens business
- Assist in all aspects of the development oversight and administration of Aspens compliance and training programs. Provide day-to-day advice on a wide array of compliance matters including Code of Conduct Anti-Corruption Data Privacy/Security Trade Compliance Antitrust Records Retention and other matters
- Implement and maintain sound corporate governance practices. Maintain corporate records and draft corporate resolutions minutes and operative governance documents
- Assist and advise on a wide range of employment law issues such as recruitment and hiring performance management discipline termination internal investigations wage and hour compliance disability-related accommodations leaves of absence non-competition and solicitation immigration employee benefits organizational restructurings mergers & acquisitions a globalizing workforce and business integrations
- Assist with enterprise risk management program and related internal governance structures and stakeholder groups
- Manage or support as necessary litigation matters dispute resolution matters administrative proceedings investigations and responses to regulatory inquiries
- Manage special projects and serve on cross-functional teams and steering committees
- Contribute to periodic functional and corporate reporting including SEC disclosures as applicable
- Lead or support additional Legal team projects as needed

- Intellectual curiosity and active desire to learn about Aspens products technology and market segments.
Why you are right for the job-
- Juris Doctor and B.A./B.S. from fully accredited universities; license to practice and bar admission in good standing in least one state preferably Massachusetts
- 5 years of relevant experience preferably in-house corporate legal department experience.
- Experience providing legal advice in a broad range of transactional contexts including commercial contracts corporate governance M&A and regulatory compliance.

Expected Compensation: Between $230000 and $285000 USD/year based on experience. Yearly Bonus eligibility.
