Compensation:$215000 to $270000 annually

POSITION SUMMARY

As Assistant General Counsel you will be responsible for managing a wide range of transactions and projects. Working closely with cross-functional teams you will provide legal guidance in a number of diverse areas including commercial contracts marketing intellectual property registration and protection. You will take a business-oriented approach to preventing and solving problems while ensuring compliance and mitigating risk. This position will report to the Chief Legal Officer.

• Commercial agreements close on time and on terms because you drove the drafting and negotiation process flagged risk before it became a deal problem and delivered a playbook the business can use without you in the room every time.
• The IP portfolio is protected and growing because you built renewal calendars enforcement protocols and registration workflows that run without manual reminders or dropped deadlines.
• Marketing is operating within compliance because you built clear trademark guidelines and claims substantiation standards the team can follow not just legal opinions they have to interpret. Outside counsel spend is controlled because you scope engagements tightly and reserve law firm hours for matters that require specialized expertise.
  
  

OBJECTIVES

• Negotiate draft and interpret commercial contracts with minimal supervision including for the Companys products and services sales terms and terms of use vendor agreements technology and SaaS agreements and the Companys Contract Playbook
• Partner with the marketing team to develop and maintain compliance including with trademark guidelines and claims substantiation standards
• Develop comprehensive strategies to protect and manage the Companys internal and acquired intellectual property portfolios especially trademarks copyrights and trade secrets
• Assist with IP-related and other due diligence during mergers acquisitions and other business transactions to identify risks and opportunities
• Partner with Technology & Finance to identify existing IP assets and to determine their value
• Creation and maintenance of an IP asset registe
• Keep abreast of the latest changes in these areas and advise clients on potential impacts to their businesses
• Supervise outside counsel where appropriate ensuring quality value and timely delivery

COMPETENCIES

• Solid understanding of marketing and advertising compliance regimes intellectual property and trade secret protection strategies including the ability to interpret apply and communicate them to clients in a solution-oriented manner
• Translates advertising law and trademark rules into practical executable guidance for non-lawyers; builds guardrails the team will actually use.
• Default instinct on a repeating contract type is to templatize and systematize it not to treat each instance as bespoke; builds infrastructure that lets the next deal close faster than the last one.
• Experience managing growing IP portfolios and ensuring protection through renewals filings and enforcement action
• Willingness and ability to grow into other areas of legal acumen including corporate real estate employment and compliance
• Ability to grasp the big picture while connecting dots and attending to detail

EDUCATION AND EXPERIENCE

• Juris Doctor (JD) from an accredited law school; strong academic credentials. Active bar membership in good standing; Arizona bar membership or ability to register as Arizona corporate counsel required within 90 days.
• 5 to 8 years of experience negotiating and structuring commercial agreements supporting marketing teams and protecting and clearing intellectual property rights.
• In-house experience in a fast-growing company is preferred; experience with digital and social media rights is a plus.
• Proficient in Thomson Reuters suite including HighQ for matter management document organization and administrative workflow; experience maintaining and updating legal databases trackers and internal portals. Demonstrated comfort with AI-driven legal tools for contract review document generation or IP workflow acceleration.

• Must be on-site at our Scottsdale AZ office; this is not a remote role
