Role Summary

The Corporate Counsel will provide governance and corporate legal advice for all subsidiaries of the global Payoneer Workforce Management Group throughout Europe. This role works closely with global Corporate Secretarial colleagues senior stakeholders and cross functional teams across multiple jurisdictions to ensure robust legal entity management and effective board governance.

What Youll Do

Ensure regulatory and legal compliance throughout each entity life cycle such as maintaining accurate statutory registers and records as well as timely filing of financial statements annual returns accounts director changes and other related corporate maintenance matters.

Maintain and obtain corporate documents such as incorporation certificates articles of association by-laws certificate of good standing and other relevant documents required by law in each jurisdiction.

Ensure consistent oversight and prompt renewal of all business licenses permits and real estate/workplace related registrations with the relevant authorities.

Support review of the groups corporate subsidiary structure such as share capital restructuring entity formations and broader entity rationalization initiatives involving liquidations dissolutions and deregistration of branches.

Provide board and governance support by scheduling meetings preparing notices and agendas drafting AGMs/board minutes and resolutions. Advising directors on their duties roles and best practices.

Prepare a range of supporting corporate and secretarial documents including share capital forms share transfer agreements confidentiality agreements power of attorney legal memoranda etc.

Draft intercompany agreements to reflect the groups commercial legal and tax requirements within each relevant jurisdiction.

Maintain the accuracy of the groups centralized corporate entity Diligent platform for all European entities such as details of incorporation director appointments share ownership authorized signatories etc.

Manage relationships with external corporate legal counsels and secretarial service providers for each jurisdiction and partner with Procurement AP and Finance as needed.

Proactively liaise with internal stakeholders such as HR Treasury Finance Tax Employment and Regulatory teams to ensure that all corporate matters are consistently aligned with the organizations overarching goals.

Contribute to the ongoing development and improvement of the global Corporate Secretarial function.

Who you are

Qualified Solicitor admitted to the Bar in a European jurisdiction.

Excellent written and verbal communication skills with the ability to articulate complex issues clearly to senior stakeholders.

3 years of post-qualification experience in a corporate secretarial or governance role working within a law firm and/or in-house within an international group.

Proven expertise in corporate law or governance across multiple jurisdictions.

Excellent teamwork project management and collaboration skills.

Comfortable working in a fast-paced in-house environment with the ability to manage multiple priorities independently is essential.
