Job Title: Legal Manager

Reports to: General Counsel

2. JOB PURPOSE:

To support companys various legal activities. The role requires a commercially minded lawyer with 10

years of experience capable of partnering with business units while effectively managing legal and regulatory

risks in regulated operational environment. Experience across district cooling sector specific utilities EPC

O&M procurement and concession arrangements is highly desirable.

The Legal Manager will act as the first respondent to the internal day-to-day legal services to provide

operational legal support across the business including distribution (DC and gas supply) services

infrastructure development procurement regulatory compliance and corporate governance. The Legal

Manager will handle regulatory matters and regulatory reporting and compliance manage disputes and

support with corporate governance.

Contracts

As and when required assist Contracts and Procurement in relation to legal matters related to the

contracts.

Support Contracts and Procurement on legal matters related to contracts breaches and termination

process related to third-party contractors’ defaults.

Provide support to HR-related to legal items on employment.

Review agreements with a view to assessment of legal risk and prevention thereof.

Evaluate companys legal risks and report them to the General Counsel with recommendations

on how to mitigate them and ensure that companys best legal interests are noted.

Research and Database Management

Assist the General Counsel in carrying out research of records and legal precedents so that relevant

data and information is available in a timely and easy to use manner to apply to resolve legal matters.

Maintain an up-to-date database of all relevant laws and regulations to provide a convenient source of

reference to the General Counsel.

Budgeting Financial and Legal Performance

Monitor the expenditure against budget in assigned areas of responsibility and recommend steps to

address material variances.

Provide General Counsel with regular litigation reports budget reports and updates.

External Legal Services

Manage services from external legal providers including procurement of legal services costs terms of

engagement reporting protocols and ancillary services.

Attend meetings internal or external to address legal issues to ensure Company is protected from

adverse legal consequences.

Develop and maintain relations with legal experts researchers and external parties to maximize

perspective and input into legal decisions affecting the Company’s projects.

Policies Systems Processes & Procedures

Provide inputs and implement policies systems and procedure for the assigned team so that all

relevant procedural/legislative requirements fulfilled while delivering a quality cost-effective service.

Continuous Improvement

Participate in problem solving of various legal issues relating to set-up of companies in Qatar to ensure

their legal status is compliant with local laws and regulations.

Reporting

Prepare legal sectional statements and legal reports and litigation reports in a timely and accurate

manner to meet the Company’s legal requirements.

Related Assignments

The job holder may be required to undertake additional duties which may be reasonably expected and

forms part of the function of the job.

QUALIFICATIONS EXPERIENCE & SKILLS

Minimum Qualifications:

Bachelor’s degree in law from a reputable university

Minimum Experience:

8-12 years' post-qualification legal experience1.

Qualified lawyer admitted in a recognized common-law or civil-law jurisdiction2.

At least 3-5 years' experience in-house or private practice sector driven in utilities energy water

infrastructure government entities or regulated services sectors.

Professional Experience: Strong ability to understand and interpret laws and legislations into actionable compliance measures.

Experience drafting and negotiating commercial contracts (services operations leases construction

development utilities sourcing procurement & supply concessions PPP etc).

1 10-14 years of experience if candidate is not qualified with a lawyer’s association (i.e. no formation training is received

at early career stage). 2 Preferred

Experience drafting and negotiating commercial contracts (services operations leases construction

development utilities sourcing procurement & supply concessions PPP etc).

Experience advising on regulatory compliance licensing and utility-related legal obligations.

Experience managing disputes claims and customer-related matters.

Experience supporting corporate governance board matters and risk management.

Experience supporting large-scale infrastructure and capital projects.

Experience managing external counsel and legal budgets.

Prior supervisory or people management experience preferred.
