(Senior) Corporate Counsel (mfd)

About your tasks:
 

• Advise on corporate law and housekeeping and governance to ensure compliance with applicable Dutch and German regulatory requirements.
• Support corporate housekeeping entity management and group structuring activities in collaboration with internal stakeholders.
• Develop maintain and advise on policies and procedures related to corporate governance themes as well as other legal templates and documentation.
• Support the preparation of annual reporting materials shareholder communications and documentation related to annual general meetings.
• Support the preparation of managing board and supervisory board meeting materials the corporate calendar and meetings including follow-up actions.
• Monitor legal and regulatory developments and translate changes into practical recommendations and business-focused guidance.
• Identify legal risks and recommend appropriate mitigation measures.
• Drive continuous improvement of governance processes legal policies and compliance frameworks to enhance efficiency and transparency.

Qualifications :

About you: 

• Academic degree in Law and a minimum of 4 years of relevant experience in Dutch corporate law and corporate governance.
• Experience working in a cross-border or international environment is a plus.
• Excellent communication and stakeholder management skills.
• High level of integrity objectivity discretion and confidentiality.
• Proven project management experience in implementing new legal and regulatory requirements.
• Proactive pragmatic and business-oriented approach to legal advice.
• Fluency in English both written and spoken.
