The Sr. Legal Counsel is responsible for providing strategic and practical legal support to the Companys business operations ensuring that commercial objectives are achieved while effectively managing legal and regulatory risks. The position serves as a trusted legal advisor to the business by leading complex financing corporate governance and commercial transactions supporting cross-functional teams protecting the Companys assets and ensuring compliance with applicable laws regulatory requirements and internal policies. The role is expected to proactively identify legal risks develop practical solutions and contribute to the Companys growth and strategic initiatives.

Key Responsabilities:

i) Coordinating the corporate governance matters of the Companys commercial entities and its SOFOM;

ii) Coordinating cross-border financing transactions and M&A matters;

iii) Coordinating domestic financing transactions between banks and the SOFOM as well as financing transactions between the SOFOM and other Element entities;

iv) Preparing reviewing and negotiating financing agreements and related transaction documents including collateral agreements guarantees lease agreements amendments extensions termination agreements letter agreements and side letters. Assisting deal teams in drafting confidentiality agreements and other pre-closing documents and providing legal support to the Sales Risk and other functional areas of the Company. Supporting the Commercial team in the negotiation of financing agreements and other commercial contracts with prospective customers;

v) Coordinating the implementation of collateral packages guarantees and the registration of security interests in the RUG (Registro Único de Garantías Mobiliarias);

vi) Coordinating commercial litigation matters;

vii) Coordinating compliance with data privacy obligations;

viii) Coordinating syndication transactions;

ix) Participating in process improvement (Lean) initiatives and other simplification and growth projects and collaborating with cross-functional teams on strategic business improvement initiatives; and

x) Upholding the Companys Document Management policies ensuring the completeness of legal documentation coordinating the activities of notaries public and public brokers in connection with contracts and amendments and following up on the registration of collateral agreements.

xi) Provide day-to-day legal advice and strategic support to PPC Sourcing Risk Operations Finance and other business teams by identifying legal risks proposing practical solutions and supporting business initiatives while ensuring compliance with applicable laws and Company policies

Education and Experience

Licensed attorney holding a Law degree from a renowned University in Mexico.

At least 3 years of experience as a licensed attorney involved in M&A litigation corporate banking financing contracts law contracts administration. Proven organization and communication skills able to prioritize and multitask.

Fluent in Spanish and English.

Working for a financial or regulated institutions is a plus.
