Summary:
Our Client is seeking a versatile and highly skilledCorporate Counsel with a strong background in both complex commercial transactions and litigation. Reporting directly to the General Counsel you will serve as a key legal advisor across all departments including Commercial Finance and Environmental. You must be comfortable working with high autonomy managing a diverse portfolio that ranges from PMPA franchise agreements and fuel supply logistics to representing the company in court.
Key Responsibilities
- Contract Negotiation: Independently draft review and negotiate complex agreements including PMPA Franchise Agreements real estate transactions technology/software licensing and fuel supply/distribution contracts.
- Litigation Management: Manage all stages of litigation (trial and appellate) including research pleadings discovery depositions and appearances in court or at arbitrations.
- Corporate Governance: Prepare board minutes resolutions and intercompany agreements while maintaining effective corporate governance policies.
- Compliance & Risk: Advise senior leadership on critical legal risks insurance coverage and privacy/information security initiatives.
- Departmental Support: Act as a legal partner to Commercial Maintenance and Finance teams to ensure timely responses to contractual and regulatory requests.
Qualifications
- Education: JD degree from an ABA-accredited law school.
- Experience: Minimum of five (5) years of combined experience as a litigator and in-house corporate counsel.
- Licensure: Active Bar admission inNew York AND New Jersey is required. Must have the ability to waive into the Pennsylvania Bar within the first year of employment.
- Technical Skills: Deep knowledge of eDiscovery intellectual property matters (cease and desist subpoenas) and privacy compliance.
- Communication: Fluent in English with the ability to distill complex legal concepts for non-legal stakeholders.
- Software: Proficiency in Microsoft Office (Word Excel Outlook) and advanced legal research tools.

- Ability to work in a professional office environment with a moderate noise level.
- Standard physical demands for an office role including sitting standing and occasional lifting of up to 10 lbs.
