Assistant Company Secretary
Job Summary
About the role
The Assistant Company Secretary plays a crucial role in supporting the Company Secretary and the Board ensuring compliance with the Corporations Act ASX Listing Rules company constitutions and internal governance structures. This role involves managing shareholder enquiries monitoring share activities and liaising with the share registrar to ensure proper registry maintenance including the management of dividends dividend reinvestment plans and share issues.
Additionally you will assist with corporate actions such as capital raisings subsidiary maintenance and support general administrative tasks including invoice reviews. The position also involves contributing to the production of the annual report including the Corporate Governance Statement and the Directors Report. Reporting to the Company Secretary this is an essential governance role that provides and administrative support to facilitate the smooth operation of the company and ensure legal and regulatory compliance.
Responsibilities
As a Company Secretary you will:
- Manage Board and Committee meeting logistics including agenda preparation document distribution minute taking and coordination
- Handle ASIC and ASX lodgements in compliance with relevant regulations including lodgements for director-related matters annual company reviews and industry funding returns
- Maintain each of Elders company registers
- Manage running of the AGM from notice preparation to post-AGM activities
- Support due diligence fitness & propriety testing and audit liaison
About you
To excel at Elders you have:
- Tertiary qualification in Law or Accounting
- Post graduate education in corporate governance (desirable)
- Member of the Governance Institute of Australia (desirable)
- Demonstrated understanding of the Corporations Act and ASX Listing Rules
- Previous experience in a corporate or advisory environment within a large complex organisation particularly in a company secretary role would be advantageous
- Knowledge of Corporate Affairs System (e.g. CAS360 software) and Board portal software (e.g. Diligent)
- Effective communication skills with the ability to liaise appropriately with Directors and Executives
- Attention to detail with the ability to prioritise highly competing priorities
