A Brief Overview

The Senior Corporate Counsel will report to the Associate General Counsel (Commercial) and serve as lead counsel across procurement and commercial contracting sustainability and product compliance compliance program operations employment and HR counseling enterprise risk management logistics and researching assessing and mitigating risk. This role also supports legal transformation initiatives including contract process improvement template/playbook roadmap development and responsible use of AI-enabled contracting tools partnering closely with global Legal/Compliance and cross-functional stakeholders. This is a strategic generalist role that will support the development and implementation of legal strategies that align with business objectives. Commercial contracting and procurement will represent the largest share of the roles day-to-day workload followed by sustainability and product compliance support on a recurring basis. Employment and HR counseling and compliance program operations are steady but moderate intensity workstreams while enterprise risk management and logistics support are cyclical. This role requires a strategic thinker with strong leadership skills and the ability to work collaboratively with various business and legal teams throughout North America and globally to support ASICS growth and risk management strategy.

What Youll Do

  • Serve as lead counsel supporting procurement and take primary responsibility for vendor contracting including drafting reviewing and negotiating technology/software professional services and IT agreements (including data processing and AI considerations). Drive consistent contracting practices through playbooks and partnership with Procurement on intake quality negotiation ownership and escalation.
  • Lead sustainability legal support in close partnership with global and regional sustainability teams including substantiation and review of sustainability claims/disclosures; extended producer responsibility (EPR) readiness; climate disclosure readiness support; responsible sourcing/human-rights disclosures; monitoring of chemicals trends and compliance; and maintaining a sustainability compliance calendar to improve forecasting and on-time delivery.
  • Provide practical day-to-day employment and HR counseling in partnership with HR including handbook/policy maintenance employee relations guidance investigation support and escalation. Draft and update employment-related documents including employment templates arbitration agreements separation/release agreements staffing agreements and employment policies.
  • Own day-to-day compliance program operations including Compliance Committee governance whistleblowing intake/triage and case management third-party compliance guardrails and compliance violation reporting. Coordinate closely with global and regional compliance teams to align reporting policies and escalation expectations. Manage the companys policy review and update cycle and lead compliance training programs.
  • Support the ERM program and Risk Management Committee cadence including the annual risk assessment cycle. Assist business risk owners in completing risk registers and preparing executive-ready summaries for leadership and global reporting.
  • Serve as lead counsel supporting logistics on shipping/transportation and distribution center operations. Support supply chain stakeholders on tariffs and duty-mitigation structures and coordinate with Finance and outside customs counsel on documentation and escalation.
  • Willingness to work with teams cross-functionally and across time zones in US Canada Mexico and globally.
  • Build strong relationships with internal business partners as a trusted business advisor and provide proactive practical and business-focused solutions to mitigate risk.
  • Participate in learning opportunities and stay informed on best practices and legal developments. Maintain high ethical standards and ensure that advice and actions align with legal ethical and company guidelines protecting the integrity of the company.

How Youll Be Successful

  • Attention to detail and accuracy is critical as well as pragmatic problem-solving mentality and ability to follow through in a fast-paced environment.
  • Experience with and willingness to learn different areas of law and real-world legal problems.
  • Excellent interpersonal skills; listens asks relevant questions and gets clarification when necessary. Ability to establish trust and rapport with business units and the legal team and achieve common goals.
  • Strong collaboration skills and ability to work well across teams and with team members as well as ability to work independently identifying and resolving problems in a timely manner with minimal supervision.
  • Must be able to maintain confidentiality in all matters.
  • Demonstrates high level of quality work and ability to be flexible and willing to work extended hours when necessary.
  • Some travel may be required throughout the United States and internationally.


What Youll Need

  • Juris Doctorate from an accredited law school required; strong academic credentials required
  • 7-9 years of relevant legal experience in-house or with a law firm required
  • Current member of the California Bar in good standing or another state bar with eligibility for California in-house counsel program registration required
  • Experience in the consumer goods or technology industry preferred
  • Advanced computer skills including Microsoft 365 and Office Suite (Outlook Teams Word Excel PowerPoint SharePoint CoPilot) contract management systems (Agiloft) online legal research (Westlaw/Practical Law) and AI tools.


SALARY / PAY RANGE:Min: $174000 Max: $194000
