We are seeking a Contracts Manager to join and expand our in-house legal team. This role will serve as the primary owner of commercial contracting operations with responsibility for both the day-to-day contracting process and the buildout of a scalable contracting infrastructure. You will partner closely with the Principal Legal Affairs and cross-functional stakeholders across SEMI to increase efficiency manage risk and prepare the organization for its next stage of growth. This is a mid-level individual contributor role and an excellent opportunity to play a foundational role in shaping how contracts support and enable the business.
This is a full-time exempt position and reports to the Principal Legal Affairs in our Milpitas CA Headquarter location.
Key Responsibilities:
- Own the full contract lifecycle from intake through execution and post-execution management (amendments renewals and terminations) ensuring accuracy consistency and timely completion.
- Review draft and negotiate a wide range of commercial agreements including vendor services consulting collaboration and partnership agreements.
- Serve as a trusted partner to internal business stakeholders by providing clear practical guidance on contract structure interpretation and risk while aligning contract terms with business objectives.
- Lead the implementation and ongoing optimization of scalable contracting operations including contract templates playbooks policies procedures and related resources.
- Partner with the Principal Legal Affairs to support the evaluation design implementation and administration of a contract lifecycle management (CLM) system and related integrations.
- Collaborate cross functionally ensure contracts comply with applicable laws regulations and internal standards while supporting efficient business execution.
- Act as a subject matter expert on contract best practices proactively identifying risks and recommending thoughtful business-oriented solutions.
- Support corporate governance and compliance activities including organizing and maintaining corporate records and entity books.
- Assist with the development and maintenance of compliance schedules to ensure entities are in good standing with annual and ongoing requirements.
Required Qualifications:
- 5 years of experience managing and negotiating commercial contracts in an in-house corporate environment. Prior in-house experience supporting a technology company including SaaS hardware components or server industries preferred.
- Strong working knowledge of commercial contract provisions legal principles and contracting best practices.
- Demonstrated ability to manage multiple competing . fast-paced and evolving environment with minimal supervision.
- Excellent written and verbal communication skills with the ability to explain complex contractual concepts clearly to non-legal stakeholders.
- Strong attention to detail analytical skills and a proven ability to identify and mitigate contractual risks.
- Experience designing implementing or administering contracting processes or legal operations infrastructure.
- Hands-on experience with CLM platforms and related tools such as Docusign Conga Ironclad and Salesforce. Proficiency in MS Office.
- Bachelors degree in Pre-Law (legal studies) English Political Science or Business Administration or equivalent /relevant work experience.
- This is a non-attorney role; a JD is not required.
