The Opportunity:
The Senior Paralegal will be responsible for providing support to the attorneys in the Corporate Legal Department primarily with respect to a variety of general corporate matters including governance for Hamilton Lane U.S. and non-U.S. offices and operating subsidiaries as well as public company reporting and related regulatory compliance.
Your responsibilities will be to:
- Interface with in-house attorneys outside counsel and other service providers to help facilitate the preparation of filings and maintenance of registrations of Hamilton Lane operating subsidiaries in U.S. and non-U.S. jurisdictions.
- Prepare governance documents such as corporate resolutions certificates of
authority secretarys certificates and incumbency certificates for attorney review and approval. - Take meeting minutes at subsidiary entity board meetings and at specific committee meetings.
- Provide ultimate beneficial ownership information for AML / KYC requests.
- Maintain authorized signatory list.
- Assist business professionals with research and data gathering assignments in support of client and prospect presentations and due diligence requests.
- Maintain litigation log.
- Update prescribed areas of Securities and Exchange Commission (SEC) filings for Nasdaq-listed parent company with attorney supervision and gather requisite approvals and signatures.
- Compile and maintain public company board and committee meeting materials for quarterly and interim meetings for dissemination to directors and staff.
- Fulfill requests from external auditors for records related to audit and SEC filings.
- Work with service providers to update and set directors / officers questionnaires on the system; distribute questionnaires to respondents; conduct first-round review of completed questionnaires and raise issues to attorneys; and interface with respondents for follow-up information requests.
- Work with internal stakeholders and outside counsel to complete due diligence requests and manage documentation collection for securities transactions regarding liquidity events.
- Interface with transfer agent and stock plan administrator.
- Maintain organized hard-copy (as needed) and electronic records of SEC filings governance documents and other corporate legal matters.
- Prepare and distribute various materials for signature.
- Identify issues legal risks and potential liabilities and escalate these to the attorneys for assessment.
- Special projects as required.
Your background will include:
Must-haves:
- Paralegal training and at least 5-7 years of work experience preferably in a corporate department of a national or international law firm or an in-house corporate legal department of a global firm. BA / BS and public company / private markets experience a plus.
- Exhibit professional maturity operate with integrity and exercise good judgment.
- Competently review and draft legal documentation and identify issues
independently subject to attorney oversight. - Exemplary verbal and written communication skills.
- Meet or exceed expectations regarding stated deadlines.
- Provide support from a client-service and commercial orientation.
- Extremely detail-oriented and organized.
- Proficient with Office 365 applications (particularly SharePoint) and various AI tools.
- Experience with Workiva and/or Diligent a plus.
- Function well in team settings team player with emphasis on collaborative skills across levels backgrounds and jurisdictions.
- Ability to manage simultaneously many assignments and quickly shift focus from one project to another as circumstances dictate.
