Job Summary

Role Purpose-

Support in executing the activities of the Legal Department and legal support to Company Overseas and its subsidiaries

in Oman and overseas; identification and mitigation of legal risks of activities of Company Overseas and its subsidiaries in Oman and overseas.

Responsibilities-

Transactional work: coordination of outside legal counsels engagement and onboarding negotiating terms review of the transaction documents drafts participation in negotiations etc.
Identifying legal and related risks of possible transactions transaction structures etc. assessing the risks and suggesting mitigation mechanics;
Review contracts agreements official letters company policies etc. as required and ensure compliance with government regulations;
Legal advice and interpretation to the other departments on matters within business and operational activities of Company Overseas and its subsidiaries in Oman and overseas;

Corporate:

Coordinating the operations of the Board shareholders meetings drafting required minutes advising other departments on required documents and materials to be presented by them as needed.
Drafting and reviewing the regulations and procedures of the Board;
Serving as Board secretary; Participating as a voting member in the risk committee;
Registering companies (SPVs) as SAOC or LLC as per the Omani Commercial Companies Laws for each approved project;
Updating the status of SPVs with the Ministry of Commerce and Industry as per company requirements including (raising capital addition of board members etc.);
Coordinating the work of local legal counsels (in-house or internal) for Company Overseas subsidiaries overseas assisting with respect to corporate decisions of the shareholders of such overseas subsidiaries if required; Monitoring the latest amendments to legislation providing updates on the progress and results of relevant jurisprudence core legal concepts development and other legal matters impacting Company Overseas and its subsidiaries in Oman and overseas.
Assisting other functions regarding legal issues potential liabilities and possible course of action;
Support in assessing and monitoring all processes procedures structures and services of the business from a legal and compliance point of view
Ensure processing and confirmation of all legal invoices by end users
Act as a support to the Legal in the department and review reports documents created and work done

Requirements

Minimum Qualification-

Bachelors Degree from outside Oman from an accredited institution in Law. MBA . preferable.
5-10 years experience in corporate legal.
