AmLaw 100 firm seeking a Senior Associate Attorney or Of Counsel to join its M&A (Private Equity) practice in Dallas.
This opportunity is ideal for an attorney with at least five years of experience advising private equity firms and their portfolio companies in complex transactions including equity investments co-investments investment management matters and broader corporate transactions.
The Role
Advise private equity firms and portfolio companies on complex equity investments and co-investments
Draft and negotiate LLC agreements limited partnership agreements shareholder agreements and investor rights agreements
Handle ancillary transaction documents and day-to-day private equity fund and portfolio company matters
Structure and negotiate management equity and incentive equity arrangements
Work on mergers and acquisitions and private equity fund documentation
Ideal Background
Juris Doctor (JD) from an ABA-accredited law school with top academic credentials
At least 5 years of experience advising private equity firms and their portfolio companies
Strong experience drafting and negotiating LLC LP shareholder and investor rights agreements
Experience with management equity arrangements and incentive equity terms
Familiarity with private equity fund documentation and M&A transactions a plus
Strong communication and writing skills
Ability to manage multiple concurrent transactions
Admitted in Texas or eligible for admission
