Responsibilities
- Preparing and filing all necessary documents for formation maintenance and dissolution of subsidiaries including charter documents consents assumed name filings bylaws company agreements partnership agreements name changes EINs and qualifications in applicable state jurisdictions
- Maintaining and updating entity management system for U.S. subsidiaries including record keeping ensuring timely filing and payment of fees and obtaining and maintaining signatures
- Coordinating with third-party registered agents on entity formation maintenance dissolutions and applicable filings.
- Updating and maintaining database of historical stock officer director and other corporate information for all subsidiaries
- Providing general corporate M&A and commercial transaction legal support including due diligence data rooms and liaising with all parties for debt and equity offerings credit facilities mergers and acquisitions divestitures real estate and other transactions
- Drafting resolutions and other authority documents in connection with loan transactions and M&A transactions.
- Maintaining subsidiary minute books
- Preparing secretary certificates and copies of corporate documents and extracts from Board minutes and other documentation related to the existence and operation of Group 1 and its subsidiaries
- Preparing and filing of documents related to obtaining registrations for business entities
- Preparation of organizational documents
- Assisting in responding to requests for information and documents from our internal and external auditors regulators partners and other stakeholders
- Processing check requests for filing fees and other Federal and State reporting obligations
- Working with third-party vendors to facilitate electronic billing system
- Assisting in the maintenance of legal document management system.
Qualifications
- 5 years experience as a corporate paralegal ideally with experience in large law firm or in-house position at a public company
- High School Diploma or equivalent required
- Paralegal Certificate or bachelors degree preferred
- SEC experience helpful
- Proven ability to work effectively under tight deadlines demonstrating strong time management and prioritization skills
- Detail oriented with strong work ethic and ability to multi-task
- Knowledge of formation and qualification of entities
- Demonstrated understanding of handling confidential or sensitive matters
- Strong teamwork and interpersonal skills
- Strong attention to detail and superior organization skills
- Proficiency in Microsoft Word Excel and PowerPoint
- Excellent verbal and written communication skills
