Experience:

Minimum 4 years of experience

Must have prior experience working in a Corporate / Venture Capital / PE Fund / AIF / Investment firm

Mandatory hands-on exposure to Fund Compliance & SEBI Regulations
Salary Range: 80k to 1L

Investment Transaction & Documentation

Lead end-to-end structuring negotiation & execution of VC/PE investment transactions

Draft review & negotiate:

Share Subscription & Shareholders Agreements (SSHA / SHA)

Share Subscription Agreements (SSA)
-
CCD / CCPS documentation
-
Side letters & amendments
-
-
Conduct legal due diligence & risk assessment of investee companies
-
Manage closing documentation & investment compliance checklist
AIF & Regulatory Compliance

Ensure compliance with:

SEBI (AIF) Regulations
-
FEMA guidelines
-
Companies Act 2013

Applicable Securities Laws
-

Monitor sponsor commitments investment limits & fund-level compliance

Handle regulatory filings trustee coordination & audit support

Develop and implement internal compliance frameworks & SOPs
-
Ensure ongoing compliance for Angel Funds / AIF structures
Corporate Governance & Advisory

Advise Board & leadership on corporate governance matters
-
Guide on fiduciary duties related-party transactions & investor rights
-
Oversee post-investment compliance & portfolio governance
-
Ensure enforcement of shareholder rights & protective provisions
Commercial & Operational Legal
-
Draft & vet commercial agreements advisory agreements ESOP documentation vendor contracts

Manage ROC filings & company law compliance
-
Handle IP documentation and legal notices
-
Coordinate with external counsels when required
Stakeholder & Regulatory Interface
-
Act as primary legal contact for investors founders trustees & regulators
-
Ensure regulatory communication & audit readiness
-
Support fund structuring & expansion initiatives
Qualification:
-
LLB / LLM (CS preferred)
-
Strong academic background in Corporate / Securities / Investment Laws
