QualificationsPositionSummary:TheCommercial In-House Counselwillrevieweditand negotiatea range of contractual arrangements including confidentiality agreements consulting agreementspurchasingagreements supplyagreementsand licensing role will provide commercial legal support to the sales department in providingappropriate contractframeworks and supporting contract negotiations to drive the contract negotiation process to successful close whileprotecting the companys interests and assets throughappropriate riskmanagement and allocation in contracts for large scale industrial role will also support project execution byassistingwith claims management.
Supervisory Responsibilities:
- While this position does not have any direct reports the highly matrixed environment requires interaction on various cross-functional teams.
Duties/Responsibilities:
Reviewredline and perform risk analysisfor commercial decision makerson large scaleproject contracts.
Negotiatecontracts for engineering and equipmentsupplywith clients in cross-cultural settings.
Negotiate licensing agreements to protect Company assets.
Draft negotiate and arrange for execution of confidentiality agreements for specific purposes.
Provide advice andsupport to procurement teams in relation topurchaser order terms and conditions.
Provide support to the project teams in providing contract summaries of key obligationsandassistwith contract claims management.
Maintain an awareness of the current requirements of exportcontrolsincludingsanctionsregimes across multiplejurisdictions.
Communicate effectively with stakeholders within a cross-functional organization to explain contract terms and answer questions about specific contract provisions.
Recognize and understand business terms legal concepts and general principles of risk allocation.
Develop an awareness and understanding of the risks specific to the Companys activities to negotiate contracts with adequate risk mitigation.
Perform legal research acrossjurisdictionsas directed by the legal team.
Prepare memos of advice for senior executives oncontractual and regulatory issues.
Assistwith the creation and updating of templates for use within the legal department.
Skills/Abilities:
Required:
Minimum3-5 years of commercial contract experience including reviewingamendingand negotiatingwith external partiesgained in private practice and/orin-house.
In-depth knowledge of contracts and contractual risk allocation.
Demonstratedexpertisein contract negotiation.
Have a commercial focus and understanding of key commercial relationships.
Ability to effectively manage time and multiple priorities.
Excellentwritingskills.
Experience working in MS Office Suite (Office Excel PowerPoint Teams).
Preferred:
Experience in licensing agreements.
Experience in large-scale construction projects.
Experience inconstruction contract management.
Education and Experience:
Juris Doctoror Legal degreerequired.
Member ofabar in good standing.
4-6 years of commercial contract experience including reviewingamendingand negotiating.
Travel Requirements:
- Up to 10% internationally or domestically.
Physical Requirements:
- Prolonged periods of sitting at a desk and working on a computer.
